Merger Litigation definition

Merger Litigation shall have the meaning set forth in Section 6.3(a).
Merger Litigation means the litigation between the parties hereto prior to the Amendment Effective Date relating to this Agreement.
Merger Litigation means all stockholder litigation or other Third Party litigation initiated against any member of the Company Group primarily based upon the Merger, the Merger Agreement, the Separation, the Distribution or the Form S-4, in each case except for any Form S-1 Litigation.

Merger Litigation means the pending class action lawsuits filed ----------------- against Fox Health and Fox Corp and certain of their respective officers and directors in connection with the merger of Fox Corp into a wholly-owned subsidiary of Fox Health, which merger was consummated on October 12, 1994.

  • Transaction Litigation has the meaning set forth in Section 5.2(d).

  • Pending Litigation means a proceeding in a court of law whose activity is in progress but not yet completed.

  • ADR Proceeding means either an Arbitration or a Mediation.

  • Disclosed Litigation has the meaning specified in Section 3.01(b).

  • Retained Causes of Action means those Causes of Action that shall vest in the Reorganized Debtors on the Effective Date, which, for the avoidance of doubt, shall not include any of the Causes of Action that are settled, released or exculpated under the Plan.

For the avoidance of doubt, the Released Defendant Claims shall not include any claims to enforce this Stipulation or the Settlement.

  • Action shall have the meaning ascribed to such term in Section 3.1(j).

  • Civil action means all suits or claims of a civil nature in a state or federal court, whether cognizable as cases at law or in equity or admiralty. "Civil action" does not include any of the following:
