Merger Sub Charter Documents definition

Merger Sub Charter Documents has the meaning given to such term in Section 4.1.
Merger Sub Charter Documents means, collectively, the certificate of formation of Streamline Merger Sub, LLC, and the Limited Liability Company Agreement of Streamline Merger Sub, LLC, as amended or supplemented from time to time.
Merger Sub Charter Documents means, collectively, the certificate of formation of Clarity Merger Sub, LLC, and the Limited Liability Company Agreement of Clarity Merger Sub, LLC, dated as of November 5, 2018, as amended or supplemented from time to time.

Merger Sub Charter Documents shall have the meaning set forth in Section 2.1.
Merger Sub Charter Documents means the certificate of formation, operating agreements, by-laws, business license, certificates of approval and articles of association (or comparable documents), each as amended to date, of the Merger Sub.
Merger Sub Charter Documents means, collectively, the Certificate of Formation of EQM Acquisition Sub, LLC, and the Limited Liability Company Agreement, dated as of April 18, 2018, of EQM Acquisition Sub, LLC, as amended or supplemented from time to time.

  • Memorandum and Articles means the amended and restated memorandum and articles of association of the Company currently in effect, as may be amended or restated from time to time.

  • Merger Subs has the meaning set forth in the Preamble.

  • Constituent Documents means with respect to any Person, as applicable, such Person’s certificate of incorporation, articles of incorporation, by-laws, certificate of formation, articles of organization, limited liability company agreement, management agreement, operating agreement, shareholder agreement, partnership agreement or similar document or agreement governing such Person’s existence, organization or management or concerning disposition of ownership interests of such Person or voting rights among such Person’s owners.

  • Merger Agreement has the meaning set forth in the Recitals.

  • Company Governing Documents means the Company Bylaws and the Company Certificate.
