Mezzanine Notice definition

Mezzanine Notice shall have the meaning set forth in Section 9.8 hereof.
Mezzanine Notice means a written notice from the Mezzanine Creditors or the Company to the Agent pursuant to which the Agent is notified of the occurrence of a Mezzanine Default, an event giving the Mezzanine Creditors a right to cause early redemption of the Mezzanine Notes, a change of control or notice thereof or a Triggering Event and which provides a reasonably detailed description thereof.

Examples of Mezzanine Notice in a sentence

  • In no event shall the Possession Date occur prior to the delivery of the following two notices: (a) either the Office Permits Notice or the First Floor Notice and (b) either the Mezzanine Acceptance Notice or the Mezzanine Notice.

  • Upon proper delivery of any Mezzanine Notice pursuant to this Section 2.5.2, Landlord shall promptly deliver to Tenant an amendment to this Lease memorializing the deletion of the Mezzanine from the Premises (the “Mezzanine Deletion Amendment”).

Related to Mezzanine Notice

  • Mezzanine Note means the original executed promissory note or other tangible evidence of the Mezzanine Loan indebtedness.

  • Collection Notice means a notice, in substantially the form of Annex A to Exhibit VI, from the Agent to a Collection Bank or any similar or analogous notice from the Agent to a Collection Bank.

  • Substitution Notice has the meaning specified in Section 2.17 (Substitution of Lenders).

  • Acquisition Notice has the meaning set forth in Section 2.5(a).

  • Consent Notice has the meaning set forth in Section 4.6(a).

  • Reduction Notice has the meaning set forth in Section 1.3.

  • Subsequent Financing Notice shall have the meaning ascribed to such term in Section 4.12(b).

  • Term SOFR Notice means a notification by the Administrative Agent to the Lenders and the Borrower of the occurrence of a Term SOFR Transition Event.

  • Mezzanine Floor means an intermediate floor between two floors, above ground level, accessible only from the lower floor;

  • Addition Notice With respect to the transfer of Subsequent Mortgage Loans to the Trust Fund pursuant to Section 2.08, a notice of the Depositor's designation of the Subsequent Mortgage Loans to be sold to the Trust Fund and the aggregate principal balance of such Subsequent Mortgage Loans as of the Subsequent Cut-off Date.   • Estoppel Letter A document executed by the Cooperative Corporation certifying, with respect to a Cooperative Unit, (i) the appurtenant Proprietary Lease will be in full force and effect as of the date of issuance thereof, (ii) the related stock certificate was registered in the Mortgagor's name and the Cooperative Corporation has not been notified of any lien upon, pledge of, levy of execution on or disposition of such stock certificate, and (iii) the Mortgagor is not in default under the appurtenant Proprietary Lease and all charges due the Cooperative Corporation have been paid.

  • Auction Notice has the meaning assigned to such term in the definition of “Dutch Auction”.

  • Refinancing Mortgage Loan Any Mortgage Loan originated in connection with the refinancing of an existing mortgage loan.

  • Subsequent Mortgage Loan Purchase Agreement The agreement between the Depositor and the Seller regarding the transfer of the Subsequent Mortgage Loans by the Seller to the Depositor.

  • Designation Notice means a notice from any Lender or an Affiliate of a Lender substantially in the form of Exhibit I.

  • mezzanine means a mezzanine as defined in the Building Code Act;

  • Completion Notice means a notice issued by the Developer in accordance with clause 6.1.

  • Closing Notice Has the meaning specified in the NPA. Company: Has the meaning specified in the first paragraph of this Trust Supplement.

  • Transaction Notice means a written request of Seller to enter into a Transaction in a form attached as Exhibit C hereto or such other form as shall be mutually agreed upon between Seller and Purchaser, which is delivered to the Purchaser in accordance with Section 3(c) herein.

  • Park Sienna Mortgage Loans The Mortgage Loans identified as such on the Mortgage Loan Schedule for which Park Sienna is the applicable Seller.
