MFN price or "Most Favored Nation price" means, with respect to resale, the best local market price offered to any third party for the purchase of air time on Manager's network including but not limited to any third party who may use the air time for its own wireless communications services or resell the air time, and, with respect to roaming, the lowest roaming charge of Manager to other wireless carriers when their customers roam on the Service Area Network.
MFN price means, with respect to a sale of a BGM Commercialized Diagnostic Product in a particular country, the lowest price available from BGM to [***], or [***], excluding in the case of sales [***]: (a) any prices charged to the [***], and [***]; (b) any prices charged [***]; and (c) [***] and [***].

More Definitions of MFN price

MFN price means (a) for MaestroLink Software sold separately, the lowest price charged by ArcSoft to a similarly situated customer within the applicable calendar quarter, and (b) for MaestroLink Software that is not sold separately but is bundled within an integrated circuit product, a price mutually agreed upon by the parties, and if no such agreement is reached within thirty (30) days, then the MFN Price shall be calculated based on ten percent (10%) of the Net Sales Price of the product which includes the MaestroLink Software, as applicable.

  • Transaction Price means the final, publicly announced, price per share of Common Stock paid by an acquirer in connection with a Change in Control (other than a Non-Transactional Change in Control), provided, however, that the Administrator may, in its sole discretion, discount the value of any earn-out, escrow or other deferred or contingent consideration (in each case, to zero) as it deems appropriate.

If the closing of the primary exchange, the absence of a closing price or the market disruption event should last for five Business Days, the closing price of the relevant Reference Share will be a price determined on such fifth Business Day by the Calculation Agent in its sole discretion and in good faith using market-accepted practices.
