Milestone Funds definition

Milestone Funds means Milestone Partners IV, L.P., Milestone Partners IV, L.P. 2 and Milestone Partners IV, L.P. 3.
Milestone Funds means the aggregate amount of the First Milestone Amount and the Second Milestone Amount.

Examples of Milestone Funds in a sentence

  • Subject to certain exceptions set out below, Members who engage in a short term trading transaction in any Milestone Funds will be charged a fee equal to two percent of each amount transferred out of the Milestone Fund pursuant to a short term trade to a maximum of the aggregate amount transferred into the Milestone Fund within the previous 30 day period.

  • In addition, with respect to the Vantagepoint Model Portfolio Funds and the Vantagepoint Milestone Funds, VIA does not use non-public portfolio holdings information about underlying series to make asset allocation or rebalancing decisions for the Model Portfolio or Milestone Funds.

  • CLS and GFS shall pay the costs of the Acquiring Trust and the Milestone Funds directly related to the Reorganization on an equal basis.

  • The Acquiring Trust and the Milestone Funds will provide each other and their respective representatives with such cooperation, assistance and information as either of them reasonably may request of the other in filing any Tax returns, amended return or claim for refund, determining a liability for Taxes or a right to a refund of Taxes or participating in or conducting any audit or other proceeding in respect of Taxes, or in determining the financial reporting of any tax position.

  • The Milestone Funds, of which the Acquired Fund is a series, is duly registered under the Investment Company Act of 1940, as amended (the “1940 Act”), as an open-end, management investment company.

  • In addition, the Milestone Funds shall supply a schedule of portfolio investments as of the Valuation Date.

  • The statement of assets and liabilities and schedule of portfolio investments shall be certified by the treasurer of Milestone Funds, to the best of his or her knowledge, as being in conformity with generally accepted accounting principles applied on a consistent basis.

  • Upon satisfaction of the conditions precedent described in Section 9 hereof, the Milestone Funds will convey, transfer and deliver to the Acquiring Trust on behalf of the Acquiring Fund, at the Closing, all of the then-existing assets of the Acquired Fund (the “Assets”).

  • Development Milestone Payment shall have the meaning set forth in Section 9.2(a).

  • Best available control technology (BACT means an emissions limitation (including a visible emission standard) based on the maximum degree of reduction for each pollutant subject to regulation under CAA which would be emitted from any proposed major stationary source or major modification which the Department, on a case-by-case basis, takes into account energy, environmental, and economic impacts and other costs, determines is achievable for such source or modification through application of production processes or available methods, systems, and techniques, including fuel cleaning or treatment or innovative fuel combustion techniques for control of such pollutant. In no event shall application of best available control technology result in emissions of any pollutant which would exceed the emissions allowed by any applicable standard under 7 DE Admin. Code 1120 and 1121. If the Department determines that technological or economic limitations on the application of measurement methodology to a particular emissions unit would make the imposition of an emissions standard infeasible, a design, equipment, work practice, operational standard, or combination thereof, may be prescribed instead to satisfy the requirement for the application of best available control technology. Such standard shall, to the degree possible, set forth the emissions reduction achievable by implementation of such design, equipment, work practice or operation, and shall provide for compliance by means which achieve equivalent results.

  • Milestone Failure means a failure by the Grant Recipient fully to achieve any Milestone by the relevant Milestone Date;

  • Second Target Distribution means $0.4375 per Unit per Quarter (or, with respect to the period commencing on the Closing Date and ending on September 30, 2005, it means the product of $0.4375 multiplied by a fraction of which the numerator is equal to the number of days in such period and of which the denominator is 92), subject to adjustment in accordance with Section 6.6 and Section 6.9.

  • Clinical peer means a physician or other health care professional who holds a non-restricted license in a state of the United States and in the same or similar specialty as typically manages the medical condition, procedure or treatment under review.

  • Best available control technology or “BACT” means an emissions limitation, including a visible emissions standard, based on the maximum degree of reduction for each regulated NSR pollutant which would be emitted from any proposed major stationary source or major modification which the reviewing authority, on a case-by-case basis, taking into account energy, environmental, and economic impacts and other costs, determines is achievable for such source or modification through application of production processes or available methods, systems, and techniques, including fuel cleaning or treatment or innovative fuel combination techniques for control of such pollutant. In no event shall application of best available control technology result in emissions of any pollutant which would exceed the emissions allowed by any applicable standard under 567—subrules 23.1(2) through 23.1(5) (standards for new stationary sources, federal standards for hazardous air pollutants, and federal emissions guidelines), or federal regulations as set forth in 40 CFR Parts 60, 61 and 63 but not yet adopted by the state. If the department determines that technological or economic limitations on the application of measurement methodology to a particular emissions unit would make the imposition of an emissions standard infeasible, a design, equipment, work practice, operational standard or combination thereof may be prescribed instead to satisfy the requirement for the application of best available control technology. Such standard shall, to the degree possible, set forth the emissions reduction achievable by implementation of such design, equipment, work practice or operation and shall provide for compliance by means which achieve equivalent results.

  • Earnout Payment has the meaning set forth in Section 2.3(b).
