Milestone Product definition

Milestone Product means (a) [***], (b) [***] and (c) [***].

Milestone Product means: (i) a Company Product; or (ii) a Partner Product containing an Identified Compound that was identified or discovered by Company or its Affiliate and with respect to which Company or its Affiliate, after such identification or discovery, granted a license or other rights to a Sublicensee or Partner;

Milestone Product shall have the meaning set forth in Section 9.5.1.

Examples of Milestone Product in a sentence

• From and after the expiration of the Royalty Term for a given Milestone Product in a given country, the Net Sales of such Milestone Product in such country shall not be used for the calculation of aggregate Net Sales of the Milestone Products in the Territory pursuant to Section 1.1(a).

• In the United States during the Royalty Term for a given Milestone Product, upon the expiration of the last Valid Claim of a Milestone Patent Covering such Milestone Product in the United States, the Net Sales of such Milestone Product in the United States used for the calculation of Royalty Payments pursuant to Section 1.2(a) shall be reduced by [***] for each following Calendar Quarter during the remainder of the Royalty Term.

• From and after the expiration of the Royalty Term for a given Milestone Product in a given country, the Net Sales of such Milestone Product in such country shall not be used for the calculation of Royalty Payments pursuant to Section 1.2(a).

More Definitions of Milestone Product

Milestone Product has the meaning given to it in Exhibit H.

Milestone Product means HV001, including any improved or modified versions or derivatives thereof, and/or any product that is covered by (i) a Patent within the Company Intellectual Property at the Effective Time, (ii) a Patent licensed to any of the Acquired Companies as of the Effective Time, or (iii) any other Patent to the extent that it claims priority to any Patent described in subsection (i) or subsection (ii) (i.e., a continuation patent application or a divisional patent application of such Patent within the Company Intellectual Property or licensed to any of the Acquired Companies at the Effective Time), and it is owned by, or licensed to, any of the Acquired Companies, no matter when any such Patent is filed or issued.

Milestone Product means any pharmaceutical product or drug product candidate that has been discovered prior to the Closing Date and that is subject to the jurisdiction of the FDA, the FDCA and the regulations promulgated thereunder or any other Governmental Authority, the rights to which are owned, developed or tested by, licensed to, or is otherwise the property of, the Company as of the Closing Date, including the compound identified by the Company or its licensees as IDN-6556 (Emricasan), and any other pharmaceutical product developed or brought to market by the Company, the Buyer or any Permitted Product Transferee that has been discovered prior to the Closing Date and is encompassed within the scope of the Patents set forth on Schedule 3.6, but excluding the Abbott Product and any Diagnostic Product or Manufacturing Product.

Milestone Product means any product that incorporates, constitutes or contains a [***] Product (including the DLL3 Products) or any Alternate Therapeutic Product.

Milestone Product means any product which is not a Licensed Product but which is manufactured in material part through the use of a Licensed Product.
