Minimum Equity Contribution Amount definition

Minimum Equity Contribution Amount means a minimum aggregate amount of the Equity Contribution that, when taken together with the aggregate amount of (i) all Capital Stock rolled over, issued directly or indirectly to, or otherwise directly or indirectly acquired by the Sellers and/or management of the Target and (ii) the aggregate principal amount of the Seller Note, is not less than 45% of the sum of (i) the aggregate principal amount of the Term Loans borrowed on the Closing Date (other than any Term Loans used to fund any Flex Increase), (ii) the aggregate principal amount of Revolving Loans borrowed on the Closing Date (other than any Revolving Loans incurred to finance any original issue discount and upfront fees required to be funded on the Closing Date pursuant to themarket flex” provisions of the Fee Letter (a “Flex Increase”), (iii) the aggregate principal amount of the senior unsecured notes issued by a parent company of Holdings to the Sellers (the “Seller Note”) and (iv) the Equity Contribution.

Related to Minimum Equity Contribution Amount

  • Maximum Contribution Amount shall equal the excess of (i) the aggregate proceeds received by such Holder pursuant to the sale of such Registrable Notes or Exchange Notes over (ii) the aggregate amount of damages that such Holder has otherwise been required to pay by reason of such untrue or alleged untrue statement or omission or alleged omission. No person guilty of fraudulent misrepresentation (within the meaning of Section 11(f) of the Securities Act) shall be entitled to contribution from any Person who was not guilty of such fraudulent misrepresentation. The Holders’ obligations to contribute pursuant to this Section 8(d) are several in proportion to the respective principal amount of the Registrable Securities held by each Holder hereunder and not joint. The Company’s and Subsidiary Guarantors’ obligations to contribute pursuant to this Section 8(d) are joint and several.
