Minimum Offering Price definition

Minimum Offering Price means $10.00 per share of Common Stock, adjusted to take into account any stock split, stock dividend, combination or similar recapitalization affecting the Common Stock following the date hereof.
Minimum Offering Price shall have the meaning set forth in Section 2.1(a) hereof.

For the purpose of determining Beginning Price, the value of dividends and other distributions shall be determined by treating them as reinvested in additional shares of stock at the closing market price on the date of distribution.
