Minority Sellers have been separately represented by counsel in connection with this Agreement and the Consideration Ratio and any implications of it or have had the opportunity to consult with such counsel and have voluntarily chosen not to do so.
Without prejudice to any other rights or remedies that the Purchaser or any member of the Purchaser’s Group may have, the Significant Sellers and the Minority Sellers acknowledge and agree that damages alone would not be an adequate remedy for any breach of the terms of this Clause 11.
As the representative of the Minority Sellers under this Agreement and/or any Transaction Document, the Sellers' Representative shall act as the agent for all Minority Sellers, shall have authority to bind each such Minority Seller in accordance with this Agreement, and the Buyer may rely on such appointment and the Sellers’ Representative’s authority to bind the Minority Sellers until the receipt by the Buyer of notice of the appointment of a successor Sellers' Representative.
Any such Claim shall be validly effected if notified to the Sellers’ Representative for the Sellers, to the Financial Sellers Representative for the Financial Sellers and to the Minority Sellers’ Representative for the Minority Sellers.
This Agreement shall be conditional upon the execution of this Agreement by not less than 91% of the Shareholders of the Company, consisting of the Majority Shareholders and the first 3 Minority Sellers listed in Schedule 1, Part B and C.
