Model Auditor definition

Model Auditor means, as at the date of this Agreement, Operis Group plc appointed in accordance with a scope of work and budget for fees and expenses agreed with the Original Borrower, BNP Paribas (as facility agent at the date of appointment) and the Technical and Modelling Bank.

Model Auditor means Ernst & Young or other firm of independent certified public accountants acceptable to the Administrative Agent.

Model Auditor means Mercer Finance and Risk Consulting a division of Xxxxxx Human Resource Consulting Pty Ltd. or any other firm reasonably acceptable to the Borrower as the Administrative Agent shall designate.

• The Model Auditor chosen by the Preferred Proposer must be unaffiliated with the Preferred Proposer and otherwise be free of any conflict of interest.

• The Model Auditor is not required to provide an opinion on whether the financial statements for future periods are in compliance with GAAP.

• In the event that a review by the Financial Model Auditor of the Initial Base Case Financial Model discloses errors or discrepancies in such financial model that results in an increase to the Initial Equity IRR in excess of five bps, the Public Funds Amount will be decreased in an amount so as to return the Base Case Equity IRR to the Initial Equity IRR, and the Initial Base Case Financial Model will be updated to reflect such adjustment.

• The engagement terms with the Model Auditor may limit the Model Auditor’s liability to IFA for the Model Auditor’s opinion’s failure to identify any error(s) in the Financial Model to five years from completion of services and in an amount of no less than the greater of (i) $2,000,000 or (ii) the amount contained in its contract; provided that such caps shall be effective only if the Model Auditor maintains professional liability insurance in the amount and for the duration of the cap.
