Notwithstanding the foregoing, the Trading Advisor may execute trades through floor brokers other than those employed by MS & Co. and its affiliates so long as arrangements (including executed give-up agreements) are made for such floor brokers to “give-up” or transfer the positions to MS & Co. in conformity with the Trading Policies set forth in Exhibit A attached hereto.
Bids of MS & Co. or any of its affiliates may be included in the calculation of such mean, but only to the extent that any such bid is the highest of the bids obtained.
MS & Co. and/or its affiliates may hold Partnership assets in non-interest bearing accounts (from which MS & Co. and its affiliates may derive compensating balance benefits, subject to the limits described herein) or, in the alternative, may invest Partnership assets in securities approved by the CFTC for investment of customer funds.
If made, all distributions shall be pro rata in accordance with the respective capital accounts of the Partners and may be made by credit to a Limited Partner’s account with MS & Co., or an Affiliate or a subsidiary thereof.
After the initial closing and after each subsequent closing, substantially all of the Partnership’s assets will be delivered to Xxxxxx Xxxxxxx & Co. Incorporated (“MS & Co.”), invested in the Trading Companies and/or deposited in separate commodity trading accounts at MS & Co. and/or its affiliates.
The Customer understands that it will not receive any other interest income on its assets and that DWR will receive interest income from MS & Co. and MSIL, as agreed from time to time by DWR, MS & Co. and MSIL, on the Customer's assets deposited as margin with MS & Co. and MSIL.
DWR shall pay all of the organizational, initial and continuing offering, and ordinary administrative expenses of the Customer (including, but not limited to, legal, accounting, and auditing fees, printing costs, filing fees, escrow fees, marketing costs and expenses and other related expenses) and all charges of MS & Co. and MSIL for executing and clearing the Customer's futures interests trades (as described in paragraph 5 below), and shall not be reimbursed therefor.
In addition, the Customer, and not DWR, shall pay the charges of MS & Co. and MSIL for executing and clearing the Customer's futures interests trades (as described in paragraph 5(b) below).
The Customer understands that it will not receive any other interest income on its assets and that DWR will receive interest income from MS & Co. and MSIL, as agreed from time to time by DWR and MS & Co. and MSIL, on the Customer's assets deposited as margin with MS & Co. and MSIL.
DWR will pay or reimburse Customer, from brokerage fees received by it, all charges of MS & Co. and MSIL for executing and clearing trades for the Customer, including floor brokerage fees, exchange fees, clearinghouse fees, NFA fees, "give up" fees, any taxes (other than income taxes), any third party clearing costs incurred by MS & Co. and MSIL, and costs associated with taking delivery of futures interests.
