Pursuant to the Purchase Agreement (as this and other capitalized terms used in these Preliminary Statements are defined in the Section 1.01 below), the Company agreed to purchase, directly or indirectly, the securities and assets comprising the Warner Recorded Music Business and the Warner Music Publishing Business from the Seller and its subsidiaries.
No Acquired Company has ever engaged, directly or indirectly, in any business other than the Recorded Music Business or the Music Publishing Business at any time during which Seller has owned, directly or indirectly, any interest in such Acquired Company, and, to Seller’s knowledge, no Acquired Company has ever engaged, directly or indirectly, in any business other than the Recorded Music Business or the Music Publishing Business at any other time.

Other than the UCI Businesses (the Rights to which Seller shall fully convey to Purchaser pursuant to this Agreement) and the Other Activities, neither Seller nor any of its Affiliates (other than the Acquired Companies) are engaged in the Recorded Music Business or the Music Publishing Business or otherwise own or control any Rights related to, used or held for use in the UCI Businesses.
Prior to Closing, Seller shall, and shall cause its Subsidiaries to, transfer the ▇▇▇▇▇ ▇▇▇▇▇▇▇ Copyrights to the Warner Music Publishing Business, either in the form of copyright transfers or in the form of sales of the Persons holding such ▇▇▇▇▇ ▇▇▇▇▇▇▇ Copyrights.
Schedule 3.15(c) of the Seller Disclosure Letter sets forth a list of the “top-200” Musical Compositions in net publisher’s share for the Warner Music Publishing Business in the United States for any of 2000, 2001, 2002 or 2003 (through the date of this Agreement).
The Warner Music Publishing Business shall enter into a perpetual synch license in favor of Warner Bros.
