Mutual Fund Rollover Transaction definition

Mutual Fund Rollover Transaction means an exchange transaction pursuant to which the Partnership will transfer the assets held in the Portfolios to the Mutual Fund on a tax deferred basis in exchange for Mutual Fund Shares and within 60 days thereafter the Mutual Fund Shares will be distributed to the Limited Partners, pro rata among the holders of Units of each Class, on a tax deferred basis (to the extent possible) upon the dissolution of the Partnership.
Mutual Fund Rollover Transaction means the exchange transaction pursuant to which the Partnership intends to transfer its assets to the Designated Mutual Fund in exchange for Mutual Fund Shares.

  • The Performance Bonus Allocation will be paid in cash before the transfer of the assets of the Partnership to the Designated Mutual Fund pursuant to the Mutual Fund Rollover Transaction or if the assets of the Partnership are not transferred to the Designated Mutual Fund, before the dissolution of the Partnership.
