NEC Parties definition

NEC Parties means NEC’s affiliates (including parents and subsidiaries), vendors, licensors and partners, and its officers, employees, agents and representatives.

  • To the fullest extent permitted by applicable law, NEC and the NEC Parties expressly disclaim all warranties of any kind, whether express, implied, statutory, or otherwise, oral or written, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose and non-infringement.

  • You understand and agree that (i) the NEC Parties are third party beneficiaries of this Agreement, and (ii) in the event of any breach of this Agreement, including any Schedule, such NEC Parties shall have all rights and remedies available to them as if they were parties to this Agreement, including claiming the benefit of Section 8 of this MSA.

  • Parent Parties has the meaning set forth in ARTICLE V.

  • Seller Parties has the meaning set forth in the preamble to this Agreement.

  • Local Parties shall be defined as the Board or the local OSSTF/FEESO bargaining unit party to a collective agreement.

  • Company Parties means the collective reference to Holdings and its Restricted Subsidiaries, including the Borrower, and “Company Party” means any one of them.

  • Buyer Parties means Buyer, its Affiliates, their members, officers, directors, employees, agents, representatives, successors, and assigns.

  • Party/Parties means Buyer and Seller individually/collectively.

  • Warrantors means the Founders, the Founder Holdcos and the Group Companies.

  • Purchaser Parties means, collectively, the Purchasers and any of their respective former, current or future directors, officers, employees, agents, general or limited partners, managers, members, stockholders, Affiliates or assignees or any former, current or future director, officer, employee, agent, general or limited partner, manager, member, stockholder, Affiliate or assignee of any of the foregoing.

  • Concert Parties means such Persons as are deemed to be Acting in Concert with AbbVie pursuant to Rule 3.3 of Part A of the Takeover Rules.

  • Bank Parties means Administrative Agent and the Banks.

  • Commitment Parties means the “Commitment Parties” as defined in the Commitment Letter.

  • Parties has the meaning set forth in the Preamble.

  • Settling Parties means, collectively, Defendant and Plaintiffs, individually and on behalf of the Class and all Released Persons.

  • Contractor Parties means a Contractor’s members, directors, officers, shareholders, partners, managers, principal officers, representatives, agents, servants, consultants, employees or any one of them or any other person or entity with whom the Contractor is in privity of oral or written contract (e.g. subcontractor) and the Contractor intends for such other person or entity to perform under the Contract in any capacity. For the purpose of this Contract, vendors of support services, not otherwise known as human service providers or educators, shall not be considered subcontractors, e.g. lawn care, unless such activity is considered part of a training, vocational or educational program.

  • Applicable Parties has the meaning assigned to it in Section 8.03(c).

  • Investor Parties has the meaning set forth in the Preamble.

  • Agent Parties has the meaning specified in Section 10.02(c).
