NEP Class B Parties definition

NEP Class B Parties means, as of any date, such of the NEP Member and its Affiliates and Permitted Assignees as hold Class B Units on such date (and each, individually, a “NEP Class B Party”).

Examples of NEP Class B Parties in a sentence

  • Notwithstanding any other provision of this Agreement, NEP Class B Parties shall have no right to vote any Class B Units held by them on any matter.

  • Subject to Section 7.08(d), if, on any Distribution Date, NEP Class B Parties hold Class B Units, each such Person shall be entitled to receive its proportionate share of all distributions made to holders of Class B Units pursuant to this Section 5.01 in accordance with its Class B Percentage Interest in effect as of such Distribution Date.

  • No Class B Unit Disposed of by Investor to a purchaser pursuant to this Section 7.01(d) shall following such Disposition be entitled to receive a pro rata share of a portion of the distributions that otherwise would be paid to the NEP Class B Parties that the Other Class B Parties are entitled to receive as provided for in the proviso in Section 7.08(d).

  • Notwithstanding any other provision of this Article 7, any Disposition of Class B Units by or with respect to any Class B Member or other direct or indirect holder of Class B Units (other than NEP Class B Parties) may be effected only if such Class B Member or other holder of Class B Units Disposes of Class B Units constituting a Proportionate Class B Allocation of such Class B Member’s or other holder’s Class B Units in accordance with the other requirements of this Section 7.01.

  • Class C Certificates Any one of the Class C Certificates executed by the Trustee, and authenticated and delivered by the Certificate Registrar, substantially in the form annexed hereto as Exhibit A-18, representing the right to distributions as set forth herein and therein and evidencing a regular interest in REMIC 4.

  • Group II Class A Certificates The Class A-2a Certificates, the Class A-2b Certificates, the Class A-2c Certificates and the Class A-2d Certificates, collectively.
