Net Debt Amount definition

Net Debt Amount means Applicable Indebtedness, minus Cash, and as adjusted in accordance with Exhibit 11.
Net Debt Amount means the difference between the Series Debt Amount and Qualifying Portal Expenses.
Net Debt Amount means the aggregate amount of Indebtedness of Reorganized MPM and its subsidiaries, less the aggregate amount of cash, cash equivalents and marketable securities (other than cash classified as restricted cash in accordance with GAAP) of Reorganized MPM and its subsidiaries, in each case, that are projected to exist as of the time immediately following the Effective Date, calculated within [five (5)] days prior to the Effective Date.

More Definitions of Net Debt Amount

Net Debt Amount means the aggregate of the Final Cash Balance and Intra-Group Lendings of the Astra Tech Group less the aggregate of the Final Financial Debt and Intra-Group Borrowings of the Astra Tech Group, each as set out in the Completion Net Debt Statement;
Net Debt Amount means an amount equal to (a) the sum of (i) all Indebtedness outstanding as of June 30, 2009, plus (ii) all Indebtedness and other amounts paid by Buyer pursuant to Section 2.2(f) minus (b) the Company’s cash and cash equivalents as of June 30, 2009, all computed in a manner entirely consistent with the Methodology.
