Net Equity Issuance Proceeds definition

Net Equity Issuance Proceeds means the cash proceeds (net of underwriting discounts and commissions and other reasonable costs associated therewith) received from the sale of equity.
Net Equity Issuance Proceeds means the net cash proceeds received by the Borrower or any of its subsidiaries from the issuance and sale of equity securities.

Net Equity Issuance Proceeds means (i) the sum of Cash payments and Cash Equivalents received by any Loan Party from any issuance of its Capital Stock, minus (ii) any bona fide direct costs incurred in connection with such issuance, including underwriting discounts and commissions and reasonable fees, costs and expenses payable by the Loan Parties in connection with such issuance in an amount not to exceed four percent (4.00%) of the consideration paid in connection with such issuance.
