Net Financial Position definition

Net Financial Position means the sum of bank borrowings, short, medium and long-term borrowings, net of cash held in hand and at bank.

Net Financial Position means the total amount (in US dollars) due from or payable to a Participant at any given time, based on the aggregate of such Participant's Contracted Orders and other use of the APX Services.

Net Financial Position means, with respect to the Group Companies, the aggregate value of the current assets of the Group Companies less the aggregate value of the current liabilities of the Group Companies, in each case, determined on a consolidated basis without duplication, as of 11:59 p.m. ET on the Business Day immediately preceding the Closing Date and calculated in accordance with the Accounting Principles and including only the current assets and current liabilities set forth on the Example Statement of Net Financial Position attached hereto as Exhibit A. Notwithstanding anything to the contrary contained herein, “Net Financial Position” shall (a) include as a current asset of the Group Companies, (i) all cash, cash equivalents and marketable securities of the Group Companies, including bank deposits, amounts in escrow, short term investments, rent deposits, uncleared inbound checks, drafts or wire transfers received or deposited or available for deposit that are not yet credited to the account of the Group Companies, but excluding the amount of any uncleared outbound checks, drafts or wire transfers or bank overdrafts, and (ii) all cash and cash equivalents of the Group Companies restricted in use, including in connection with (1) workers’ compensation obligations of any Group Company, and (2) any other cash or cash equivalents of any Group Company designated as “Restricted Cash and Investments” on the Company’s consolidated balance sheet or otherwise, and (b) exclude (i) all income Tax assets (whether current or deferred) and income Tax liabilities (whether current or deferred), and (ii) any amounts with respect to (A) Unpaid Seller Expenses or Indebtedness and (B) the “tail” policy pursuant to and in accordance with Section 6.5(b).

Net Financial Position or “NFP” of the Company shall mean the algebraic sum (calculated in Euro) of the amounts (as at a specified date) of each of the following line items, each as defined by Article 2424 of the Italian Civil Code as currently in effect: • cash at bank and on hand (item C.IV of the assets): bank and postal deposits, cheques and cash; • current financial assets (item C.III.5 of the assets): other securities (item C.III.6 of the assets); • loans receivables (item B.III.2); • bonds (item D.1 of the liabilities and equity); • convertible bonds (item D.2 of the liabilities and equity); • bank borrowings (item D.4 of the liabilities and equity); • borrowings from other lenders (item D.5 of the liabilities and equity); • borrowings from shareholder (item D.3 of the liabilities and equity); • leasing debt (in compliance with IAS 17).

Net Financial Position means the net debt position of the Opto-Tech Entity determined on a consolidated basis according to the algebraic sum of the following items: (i) Cash; minus (ii) medium/long term Indebtedness; plus (iii) Tax Credits in the balance sheet, minus (iv) estimated income Taxes for the Pre-Closing Tax Period; minus (v) outstanding loans from the Sellers and plus or minus (vi) receivables/payables resulting from the sale of Acies S.r.l., Opto 3 S.r.l., Q-Tech S.r.l., T-Led S.r.l.. Exhibit B sets forth an example of the methodology for calculating Net Financial Position.

Net Financial Position means the amount set out as "posizione finanziaria xxxxx" in financial statements ("bilancio civilistico") of the Company determined (subject to Clause 30.1) in accordance with GAAP as at December 2004.

Net Financial Position means an amount derived from the calculation set forth on Exhibit E and comprising only the book accounts of the Company set forth therein.
