Net Total Debt definition

Net Total Debt means, at any time, Total Debt at such time less Cash held by the Company and its Subsidiaries (except for Cash of any Subsidiaries which are liable at such time in respect of any Non-Recourse Indebtedness) which is free and clear of Liens, other than Liens securing payment of customary charges and fees relating to the accounts in which the Cash is held.
Net Total Debt means the aggregate interest bearing debt (excluding any interest bearing debt borrowed from any Group Company) (where the Working Capital Facility shall be calculated as the Working Capital Facility Twelve (12) Months Average) less cash and cash equivalents of the Group per the relevant testing date, in accordance with the Accounting Principles, adjusted in accordance with the Operational Lease Freeze.
Net Total Debt means total debt as evidenced at any relevant time by the Latest Accounts, in which they shall have been calculated in accordance with GAAP less unencumbered cash (which shall have the meaning given thereto under GAAP) of the Group.
