In consideration of Lxxxxx’s entering into this Agreement and agreeing to the Standstill, Borrow undertakes and agrees to seek to obtain the New Capital Amount and to pursue an uplisting of its common stock onto either the NASDAQ or NYSE stock exchanges, with all diligence and in good faith.
New Capital Amount means the amount received by Lion as consideration for a Subsequent Capital Raising (before deducting any brokerage or other expenses of Lion in respect of that Subsequent Capital Raising) and, if any part of that consideration is a non-cash consideration, the amount of the consideration received by Lion is to be taken to be the amount which Lion credits to its capital account in respect of the receipt of that consideration.
By agreeing to this Agreement, and using Your Capital Amount to pay the Existing Advance outstanding balance, Your Existing Advance obligations have been terminated and the New Capital Amount is solely governed by this Agreement.
