New Commitment definition

New Commitment has the meaning specified in Section 2.21(a).
New Commitment shall have the meaning assigned to such term in Section 2.23.
New Commitment means any written commitment Seller may receive during the Term of this Agreement from a third party to provide factoring to Seller, which commitment Seller intends to accept.

Examples of New Commitment in a sentence

  • Upon effectiveness of the Extension Amendment to which each such New Commitment Lender is a party, (a) the Commitments of all existing Lenders of each Type specified in the Extension Amendment in accordance with this Section 2.17 will be permanently reduced pro rata by an aggregate amount equal to the aggregate principal amount of the Extended Commitments of such New Commitment Lenders and (b) the Commitment of each such New Commitment Lender will become effective.

  • In the event that any New Commitment Letters are obtained, (A) any reference in this Agreement to the “Financing Instruments” will be deemed to include the Financing Instruments to the extent not superseded by a New Commitment Letter at the time in question and any New Commitment Letters to the extent then in effect and (B) any reference in this Agreement to the “Financing” will mean the financing contemplated by the Financing Instruments as modified pursuant to the foregoing.

  • Each such New Commitment shall be subject to consent of the Administrative Agent and the Lenders in their sole and absolute discretion.

  • Notwithstanding anything herein to the contrary, any Extended Commitment provided by New Commitment Lenders shall be pro rata to each New Commitment Lender.

  • Extended Commitments and New Commitments shall be established pursuant to an amendment (each, an “Extension Amendment”) to this Agreement among the Borrower, the Agent and each Extending Lender and each New Commitment Lender, if any, providing an Extended Commitment or a New Commitment, as applicable, thereunder, which shall be consistent with the provisions set forth in Sections 2.17(a), (b) and (c) above (but which shall not require the consent of any other Lender).


More Definitions of New Commitment

New Commitment has the meaning set forth in Section 6.10.
New Commitment means the Commitment of each Remaining Lender under the Credit Facility as set out in Appendix 2.
New Commitment means, with respect to each New Lender, the commitment, if any, of such New Lender to make New Loans on the Restatement Effective Date, expressed as an amount representing the maximum principal amount of the New Loan to be made by such New Lender hereunder. The amount of each New Lender’s New Commitment is set forth on Schedule 1.1-I, or in the Assignment and Acceptance Agreement pursuant to which such New Lender shall have assumed its New Commitment, as applicable.
New Commitment means any Commitment entered into by or on behalf of CDC after the Commencement Date (for the avoidance of doubt, a follow-on investment entered into by CDC in respect of any New Commitment shall alsobe considered to be a New Commitment for the purposes of this Investment Policy).
New Commitment means, with respect to any Pro Rata Lender, its allocated principal amount of the Pro Rata Facilities (including all unfunded commitments and outstanding loans under any of the Pro Rata Facilities) on and immediately after giving effect to the Amendment No. 12 Effective Date in excess of the aggregate principal amount of such Pro Rata Lender’s existing unfunded commitments and outstanding loans under the Existing Pro Rata Facilities as of (but immediately prior to) the Amendment No. 12
New Commitment means New Revolving Loan Commitment or New Term Loan Commitment, as applicable.
New Commitment means, with respect to each Lender, the commitment of such Lender to make a New Loan on the Effective Date in the amount set forth for such Lender on Annex I.
