New Second Lien Secured Notes definition

New Second Lien Secured Notes means the New Second Lien Convertible Notes and the New Second Lien Non-Convertible Notes.
New Second Lien Secured Notes means the second lien senior secured notes due 2023 of the Guarantor and Foresight Finance issued pursuant to the New Second Lien Secured Notes Indenture.
New Second Lien Secured Notes means the promissory notes to be executed in connection with the New Second Lien Credit Agreement on the Effective Date by the Reorganized Debtor in favor of the First Out Second Lien Lenders reflecting the treatment afforded Allowed Class 2 Claims, in substantially the form filed with the Plan Supplement.

Examples of New Second Lien Secured Notes in a sentence

  • The Company or its Affiliates may directly or indirectly (regardless of whether such New Second Lien Secured Notes are surrendered to the Company), repurchase New Second Lien Secured Notes in the open market or otherwise, whether by the Company or its Subsidiaries or through a private or public tender or exchange offer or through counterparties to private agreements, including by cash-settled swaps or other derivatives, subject to Section 4.05.

  • All other payments on the New Second Lien Secured Notes shall be made at the office or agency of the Paying Agent and Registrar within the contiguous United States unless the Company elects to make interest payments by check mailed to the Holders at their respective addresses set forth in the register of Holders.

  • The Company may, at its option and to the extent permitted by applicable law, reissue, resell, hold or surrender to the applicable Second Lien Trustee for cancellation any New Second Lien Secured Notes that it may repurchase.

  • If a Holder of New Second Lien Secured Notes has given wire transfer instructions to the Company, the Company shall pay all principal, interest and premium, if any, on that Holder’s New Second Lien Secured Notes in accordance with those instructions.

  • New Second Lien Secured Notes and portions of New Second Lien Secured Notes of a given series selected shall be in amounts of $2,000 or integral multiples of $1,000; except that if all of the New Second Lien Secured Notes of a given series of a Holder are to be redeemed, the entire outstanding amount of New Second Lien Secured Notes of such series held by such Holder, even if not a multiple of $1,000, shall be redeemed.

  • No New Second Lien Secured Notes in denominations of $2,000 or less shall be redeemed in part.

  • Whenever any New Second Lien Secured Notes are so surrendered for exchange, the Company shall execute, and the applicable Second Lien Trustee shall, upon receipt of an Authentication Order, authenticate and deliver, New Second Lien Secured Notes of the same series which the Holder making the exchange is entitled to receive.

  • The aggregate principal amount of New Second Lien Secured Notes which may be authenticated and delivered under this Second Lien Indenture is the aggregate principal amount of the New Second Lien Secured Notes issued on the date hereof and any Additional New Second Lien Secured Notes issued pursuant to this Second Lien Indenture.

  • Any Ratio Debt incurred must have a maturity date at least ninety-one (91) days after the maturity date of the New Second Lien Secured Notes.

  • Nothing herein contained will be deemed to authorize the applicable Second Lien Trustee to authorize or consent to or accept or adopt on behalf of any Holder of the applicable series of New Second Lien Secured Notes any plan or reorganization, arrangement, adjustment or composition affecting the applicable series of New Second Lien Secured Notes or the rights of any Holder thereof, or to authorize the applicable Second Lien Trustee to vote in respect of the claim of any Holder in such proceeding.

  • Senior Unsecured Notes Indenture means the Indenture dated as of July 20, 2011 among Xxxxx Fargo Bank, National Association, as trustee, the Borrower, as issuer, and the guarantors party thereto, as the same may be amended or supplemented from time to time.

  • Unsecured Notes means the Borrower’s $700,000,000 10.75% Senior Notes due 2023 issued pursuant to the Unsecured Notes Indenture dated as of July 31, 2015.

  • Refinancing Notes means any secured or unsecured notes or loans issued by the Borrower or any Subsidiary Loan Party (whether under an indenture, a credit agreement or otherwise) and the Indebtedness represented thereby; provided, that (a) (i) 100% of the Net Proceeds of such Refinancing Notes that are secured on a pari passu basis with the Term B Loans are used to permanently reduce Loans and/or replace Commitments substantially simultaneously with the issuance thereof or (ii) 90% of the Net Proceeds of any other Refinancing Notes are used to permanently reduce Loans and/or replace Commitments substantially simultaneously with the issuance thereof; (b) the principal amount (or accreted value, if applicable) of such Refinancing Notes does not exceed the principal amount (or accreted value, if applicable) of the aggregate portion of the Loans so reduced and/or Commitments so replaced (plus unpaid accrued interest and premium (including tender premiums) thereon and underwriting discounts, defeasance costs, fees, commissions and expenses); (c) the final maturity date of such Refinancing Notes is on or after the Term Facility Maturity Date or the Revolving Facility Maturity Date, as applicable, of the Term Loans so reduced or the Revolving Facility Commitments so replaced; (d) the Weighted Average Life to Maturity of such Refinancing Notes is greater than or equal to the Weighted Average Life to Maturity of the Term Loans so reduced or the Revolving Facility Commitments so replaced, as applicable; (e) in the case of Refinancing Notes in the form of notes issued under an indenture, the terms thereof do not provide for any scheduled repayment, mandatory redemption or sinking fund obligations prior to the Term Facility Maturity Date of the Term Loans so reduced or the Revolving Facility Maturity Date of the Revolving Facility Commitments so replaced, as applicable (other than customary offers to repurchase or mandatory prepayment provisions upon a change of control, asset sale or event of loss and customary acceleration rights after an event of default); (f) the other terms of such Refinancing Notes (other than interest rates, fees, floors, funding discounts and redemption or prepayment premiums and other pricing terms), taken as a whole, are substantially similar to, or not materially less favorable to the Borrower and its Subsidiaries than the terms, taken as a whole, applicable to the Term B Loans (except for covenants or other provisions applicable only to periods after the Latest Maturity Date in effect at the time such Refinancing Notes are issued or are otherwise reasonably acceptable to the Administrative Agent), as determined by the Borrower in good faith (or, if more restrictive, the Loan Documents are amended to contain such more restrictive terms to the extent required to satisfy the foregoing standard); (g) there shall be no obligor in respect of such Refinancing Notes that is not a Loan Party; and (h) Refinancing Notes that are secured by Collateral shall be subject to the provisions of a Permitted Pari Passu Intercreditor Agreement or a Permitted Junior Intercreditor Agreement, as applicable.

  • First Lien Notes Indenture means that certain Indenture, dated as of March 15, 2019, by and among Frontier, as issuer, the subsidiary guarantors party thereto, JPMorgan Chase Bank, N.A., as collateral agent, and The Bank of New York Mellon, as trustee, as amended, supplemented, or modified from time to time.

  • Senior Secured Notes Indenture means the indenture, dated as of the Closing Date, among the Borrower, as issuer, the guarantors party thereto and the trustee referred to therein pursuant to which the Senior Secured Notes are issued, as such indenture may be amended or supplemented from time to time.

  • First Lien/Second Lien Intercreditor Agreement means an intercreditor agreement substantially in the form of Exhibit H hereto, or such other customary form reasonably acceptable to the Administrative Agent and the Borrower, in each case, as such document may be amended, restated, supplemented or otherwise modified from time to time.

  • Additional First Lien Secured Parties means the holders of any Additional First Lien Obligations and any trustee, authorized representative or agent of such Additional First Lien Obligations.

  • Secured Notes Indenture means the Indenture, dated as of May 29, 2013, among the Borrower, the subsidiary guarantors party thereto from time to time and Wilmington Trust, National Association, as trustee, governing the Secured Notes, as the same may be amended, supplemented, waived or otherwise modified from time to time.
