No Sale Period definition

No Sale Period means any period after an IPO of Laureate in which the underwriters in such IPO have requested that one or more Laureate shareholders not sell their shares of Common Stock.
No Sale Period means the period from the date hereof to the date which is four (4) years after the Effective Date.

If the Common Stock is not so quoted, the “Last Reported Sale Price” shall be the average of the mid-point of the last bid and ask prices for the Common Stock on the relevant date from each of at least three nationally recognized independent investment banking firms selected by the Company for this purpose.

  • Payback Period means the reasonably estimated period of time that it takes for the cost savings resulting from a capital improvement to equal the total cost of the capital improvement. Landlord, by itself or through an affiliate, shall have the right to directly perform, provide and be compensated for any services under this Lease.
