TPIC shall timely pay all Taxes that are owed in connection with the filing of any Pre-Closing Non-Income Tax Returns.
Seller shall timely file or cause to be timely filed any Combined Tax Return, any Pre-Closing Separate Income Tax Return and any Pre-Closing Separate Non-Income Tax Return that is required to be filed on or before the Closing Date (taking into account any extensions).
Buyer shall not amend or revoke any Pre-Closing Separate Income Tax Returns or Pre-Closing Separate Non-Income Tax Returns (or any notification or election relating thereto) without the prior written consent of Seller (not to be unreasonably withheld, conditioned or delayed).
TPIC shall deliver (or cause to be delivered) each such Pre-Closing Non-Income Tax Return to CCI for its review and comment at least twenty (20) days prior to the date such Tax Return is required to be filed and TPIC shall not file any such Pre-Closing Non-Income Tax Returns without CCI’s consent, which consent will not be unreasonably withheld, conditioned or delayed.
Except to the extent required by Law, each such Pre-Closing Non-Income Tax Returns shall be prepared in a manner consistent with past practice of TPI and its subsidiaries.
