Notice of Material Modification definition

Notice of Material Modification or “Material Modification” means a health care service plan regulatory filing, including any amendments thereto, filed by the Company or any of its Subsidiaries pursuant to the Xxxx-Xxxxx Act in order to obtain approval from the DMHC for a change in control of the Company or any of its Subsidiaries.
