Notice of Request for Issuance of Letter of Credit means a notice in the form of Exhibit II annexed hereto with respect to the proposed issuance of a Letter of Credit.

  • Upon receipt by Administrative Agent of a Notice of Request for Issuance of Letter of Credit pursuant to subsection 3.1B(i) requesting the issuance of a Letter of Credit, in the event Administrative Agent elects to issue such Letter of Credit, Administrative Agent shall promptly so notify Company, and Administrative Agent shall be the Issuing Lender with respect thereto.

  • Whenever a Borrower desires the issuance of a Letter of Credit, it shall cause Borrowers’ Agent to deliver to Administrative Agent and to the Lender which the Borrowers’ Agent has requested to issue such Letter of Credit a Notice of Request for Issuance of Letter of Credit no later than 1:00 P.M.   • Request for Letter of Credit means a written request for a Letter of Credit substantially in the form of Exhibit D, together with the standard form of application for letter of credit used by the applicable Issuing Bank, signed by a Senior Officer of the applicable Borrower and properly completed to provide all information required to be provided therein.

  • Letter of Credit Request shall have the meaning provided in Section 2.03(a).

  • Request for Issuance means a request made pursuant to Section 2.04 in the form of Exhibit B.

  • Auto-Extension Letter of Credit has the meaning specified in Section 2.03(b)(iii).

  • Notice of Borrowing has the meaning specified in Section 2.02(a).

  • Irrevocable letter of credit means an irrevocable letter on the financial institution’s standard form containing a request that the party to whom it is addressed pay the bearer or a person named therein money as a result of failure to perform or fulfill all the covenants, undertakings, terms, conditions and agreements contained in a contract.

  • Notice of Loan means a Notice of Loan in the form of the attached Exhibit D.

  • Notice of Extension/Conversion means the written notice of extension or conversion in substantially the form of Exhibit 3.2, as required by Section 3.2.

  • U.S. Letter of Credit means any letters of credit issued or to be issued by the U.S. Issuing Bank under the U.S. Subfacility for the account of the U.S. Borrowers pursuant to Section 2.13.

  • Borrowing Notice is defined in Section 2.8.

  • Notice of Swing Line Borrowing has the meaning specified in Section 2.02(b).

  • Notice of Issuance has the meaning specified in Section 2.03(a).

  • Notice of Continuation or Conversion has the meaning provided in Section 2.10(b).

  • Acceptable Letter of Credit means a clean, unconditional, irrevocable letter of credit issued by a Wisconsin bank or any other financial institution acceptable to the commissioner which renews on an annual basis for a 3–year term unless written notice of non- renewal is given to the commissioner and the limited service health organization at least 60 days prior to the renewal date.

  • Request for Credit Extension means (a) with respect to a Borrowing, conversion or continuation of Committed Loans, a Committed Loan Notice, (b) with respect to an L/C Credit Extension, a Letter of Credit Application, and (c) with respect to a Swing Line Loan, a Swing Line Loan Notice.

  • Notice of Drawdown means a notice substantially in the form set out in Schedule 4 (Notice of Drawdown).

  • Notice of Swingline Borrowing shall have the meaning set forth in Section 2.4.

  • LC Request a request for issuance of a Letter of Credit, to be provided by Borrower Agent to Issuing Bank, in form satisfactory to Agent and Issuing Bank.

  • Facility LC Application is defined in Section 2.19.3.

  • Letter of Credit Application means an application and agreement for the issuance or amendment of a Letter of Credit in the form from time to time in use by the L/C Issuer.

  • Notice of Revolving Borrowing shall have the meaning as set forth in Section 2.3.

  • Issuance Request means a Letter of Credit request and certificate duly executed by an Authorized Officer of the Borrower, substantially in the form of Exhibit B-2 hereto.

  • Auto-Renewal Letter of Credit has the meaning specified in Section 2.03(b)(iii).

  • Request for Loan means a written request for a Loan substantially in the form of Exhibit E, signed by a Senior Officer of the applicable Borrower and properly completed to provide all information required to be included therein.

  • Notice of Extension has the meaning specified in Section 2.20.

  • Request for Advance means a Request for Revolving Credit Advance or a Request for Swing Line Advance, as the context may indicate or otherwise require.
