Any open-end management investment company registered under the Investment Company Act of 1940 with respect to which the Investment Manager serves as investment adviser, shares of which are sold to the public, and which the Plan Administrator designates as a Notional Fund under the Plan.
Seligman & Co. Incorporated ("Seligman") or any other entity controlling, controlled by, or under common control with (as such terms are defined in the Investment Company Act of 1940) Seligman (each, a "Notional Fund"), assuming reinvestment of dividends and distributions from the Notional Funds.

The Employee also agrees that the Firm shall be entitled to injunctive relief for any actual or threatened violation of any of the Covenants in addition to any other remedies it may have, including, without limitation, money damages and forfeiture of the Notional Fund Interest Amount.
