November 2023 Amendment Agreement means the amendment to this Agreement dated 30 November 2023 between, amongst others, the Borrower, the Agent and the SACE Agent.
Amendment Agreement shall have the meaning assigned to such term in the recitals hereto.
Restatement Agreement has the meaning set forth in the introductory statement of this Agreement.
Amendment and Restatement Agreement means the Amendment and Restatement Agreement, dated as of January 29, 2016, among the Borrowers, the Lenders party thereto and the Administrative Agent.
Second Amendment Agreement means that certain Second Amendment Agreement dated as of October 4, 2011, among Xxxxx 0, xxx Xxxxxxxx, Xxxxxxx Xxxxx Capital Corporation, as administrative agent and collateral agent, and the Tranche B II Term Lenders party thereto, providing for, among other things, the amendment and restatement of the 2009 Credit Agreement.
First Amendment Date means February 21, 2019.
ESG Amendment has the meaning specified in Section 2.18.
Eleventh Amendment Effective Date has the meaning set forth in Section 4 of the Eleventh Amendment.
First Amendment Effective Date has the meaning assigned to such term in the First Amendment.
Seventh Amendment Effective Date shall have the meaning provided in the Seventh Amendment.
Fifth Amendment Effective Date shall have the meaning provided in the Fifth Amendment.
Third Amendment Date means June 23, 2020.
Tenth Amendment Effective Date has the meaning assigned to such term in the Tenth Amendment.
Eighth Amendment Effective Date shall have the meaning provided in the Eighth Amendment.
First Amendment means that certain First Amendment to Credit Agreement, dated as of February 27, 2017, among the Loan Parties, the Administrative Agent and the Lenders party thereto.
Fourth Amendment Effective Date has the meaning assigned to such term in the Fourth Amendment.
Amendment and Restatement Effective Date means June 28, 2018, the date the amendments and restatements to the Plan of May 7, 2018 are subject to approval by the Company’s stockholders at the Company’s 2018 Annual Meeting.
Ninth Amendment Effective Date has the meaning set forth in Section 4 of the Ninth Amendment.
Second Amendment Effective Date has the meaning assigned to such term in the Second Amendment.
Extension Agreement means an Extension Agreement, in form and substance reasonably satisfactory to the Administrative Agent, among the Company, the Administrative Agent and one or more Extending Lenders, effecting an Extension Permitted Amendment and such other amendments hereto and to the other Loan Documents as are contemplated by Section 15.1.1.
Second Amendment Date means February 26, 2019.
Sixth Amendment Effective Date shall have the meaning provided in the Sixth Amendment.
Consent Agreement means this Consent Agreement, duly signed and concluded between the Commission and the Respondent, as contemplated in section 40(1) of the Act.
Seventh Amendment means the Waiver and Seventh Amendment to Sixth Amended and Restated Credit Agreement dated as of the Seventh Amendment Effective Date among the Borrower, the Administrative Agent and the Lenders.
L/C Amendment Application means an application form for amendment of outstanding Letters of Credit as shall at any time be in use at the Issuing Bank, as the Issuing Bank shall request.
Modification Agreement means a written order to the Contractor, signed by the City, authorizing an addition, deletion, or revision of the Services or an adjustment in the Contract Price issued after execution of the Agreement.
Fourth Amendment Date means April 30, 2021.
