Examples of NPI Agreement in a sentence
The delivery of this Conveyance shall not affect, enlarge, diminish, or otherwise impair any of the representations, warranties, covenants, conditions, indemnities, terms, or provisions of the NPI Purchase Agreement, and all of the representations, warranties, covenants, conditions, indemnities, terms, and provisions contained in the NPI Agreement shall survive the delivery of this Conveyance to the extent, and in the manner, set forth in such agreement.
This NPI Agreement shall become operative when each party has executed at least one counterpart of this NPI Agreement.
Delivery of an executed counterpart of this NPI Agreement (or any other documents related to the transactions contemplated by this NPI Agreement) by facsimile shall be equally effective as delivery of a manually executed counterpart of this NPI Agreement or any such document, and the failure to deliver a manually executed counterpart shall not affect the validity, enforceability or binding effect of this NPI Agreement or any such document.
In the event of a conflict between the terms of this Conveyance and the terms of the NPI Agreement, the terms of the NPI Agreement shall govern and control; provided, however, that the inclusion in this Conveyance of terms not addressed in the NPI Agreement shall not be deemed a conflict, and all such additional terms contained in this Conveyance shall be given full force and effect, subject to the provisions of this Section 4.1.
Except in the context of a dispute related to this NPI Agreement, the results of the audit shall not be released, transferred, or disclosed by Owner or its auditor outside of its organization, and Owner will require any independent auditor to sign an appropriate nondisclosure agreement.
