  • The Warrant Price of this Warrant and the Number of Shares of Warrant Stock issuable upon exercise of this Warrant (or any shares of stock or other securities at the time issuable upon exercise of this Warrant) shall each be proportionally adjusted to reflect any stock dividend, stock split or reverse stock split, or other similar event affecting the number of outstanding shares of Warrant Stock (or such other stock or securities).

  • The Company hereby covenants that at all times there shall be reserved for issuance and delivery upon exercise of this Warrant such Number of Shares of Warrant Stock or other shares of capital stock of the Company as are from time to time issuable upon exercise of this Warrant and, from time to time, will take all steps necessary to amend its Articles or Certificate of Incorporation to provide sufficient reserves of shares of Warrant Stock issuable upon exercise of this Warrant.

  • The Number of Shares of Warrant Stock and the Exercise Price of such Warrant Stock are subject to adjustment as provided in Section 4 hereof.

  • Subject to the terms and conditions hereinafter set forth, the Registered Holder is entitled, upon receipt by the Company of proper instructions for the cancellation of this Warrant, to purchase from the Company the Number of Shares of Warrant Stock set forth above (subject to adjustment as provided herein).

  • If Holder elects to exchange this Warrant as provided in this Section 3.2, the Holder shall tender to the Company, at the principal office of the Company, the Warrant for the amount being exchanged, along with a properly endorsed Notice of Exercise, and the Company shall issue to the Holder the Number of Shares of the Warrant Stock computed using the following formula: X = Y (A-B) A Where X = the Number of Shares of Warrant Stock to be issued to the Holder.

  • In such event, the Exercise Price shall automatically be adjusted to equal the number obtained by dividing (i) the aggregate Exercise Price of the Former Number of Shares of Warrant Stock, by (ii) the number of shares of stock and/or other securities and property for which this Warrant is exercisable immediately after such event.


More Definitions of Number of Shares of Warrant Stock

Number of Shares of Warrant Stock and "Number of Shares" shall mean, subject to the terms hereof, the number or quotient equal to $8,006.20 divided by the lesser of (a) the price per share sold by the Company in its next preferred stock, Common Stock or other equity financing of securities after the Date of Issuance of this Warrant, or (b) SI 0.00 per share. Notwithstanding the foregoing, the Number of Shares of Warrant Stock (i) represents the number of shares or securities of Warrant Stock at any time receivable or issuable upon exercise of this Warrant, and (ii) shall be subject to adjustment as set forth in this Warrant.

Related to Number of Shares of Warrant Stock

  • Warrant Stock means Common Stock issuable upon exercise of any Warrant or Warrants or otherwise issuable pursuant to any Warrant or Warrants.

  • Common Warrant Shares means the shares of Common Stock issuable upon exercise of the Common Warrants.

  • Number of Warrants means, for a Warrant Certificate, the “Number of Warrants” specified on the face of such Warrant Certificate (or, in the case of a Global Warrant, on Schedule A to such Warrant Certificate), subject to adjustment pursuant to Article 5.

  • Number of Shares means a number of shares calculated as follows: Par / Geared Put Strike LPU rounded down to the nearest round lot as permitted by the Exchange for trading purposes, and the remaining fractional share amount (being the “Residual Amount”) shall be paid in USD as the Cash Residual; and

  • Shares means the shares of Common Stock issued or issuable to each Purchaser pursuant to this Agreement.

  • Warrant Shares means the shares of Common Stock issuable upon exercise of the Warrants.

  • Ordinary Shares Equivalents means any securities of the Company or the Subsidiaries which would entitle the holder thereof to acquire at any time Ordinary Shares, including, without limitation, any debt, preferred stock, right, option, warrant or other instrument that is at any time convertible into or exercisable or exchangeable for, or otherwise entitles the holder thereof to receive, Ordinary Shares.

  • Number of Option Shares means shares of Stock, as adjusted from time to time pursuant to Section 9.

  • Additional Shares of Common Stock means all shares of Common Stock issued (or, pursuant to Subsection 4.4.3 below, deemed to be issued) by the Corporation after the Series B Original Issue Date, other than (1) the following shares of Common Stock and (2) shares of Common Stock deemed issued pursuant to the following Options and Convertible Securities (clauses (1) and (2), collectively, “Exempted Securities”):

  • Warrant Share Number means at any time the aggregate number of shares of Warrant Stock which may at such time be purchased upon exercise of this Warrant, after giving effect to all prior adjustments and increases to such number made or required to be made under the terms hereof.

  • Warrant Exercise Price means $0.05 per share.

  • Ordinary Shares means the ordinary shares, par value $0.0001 per share, of the Company.

  • Current Warrant Price means, in respect of a share of Common Stock at any date herein specified, the price at which a share of Common Stock may be purchased pursuant to this Warrant on such date. Unless and until the Current Warrant Price is adjusted pursuant to the terms herein, the initial Current Warrant Price shall be $2.36 per share of Common Stock.

  • Common Shares means the common shares in the capital of the Corporation;

  • Dividend Shares means any shares of Common Stock issuable in lieu of cash dividends paid or to be paid on the Series A Preferred.

  • Series B-2 Preferred Shares means the Company’s series B-2 preferred shares, par value US$0.00001 per share.

  • Series D Preferred Shares means the Company’s series D preferred shares, par value US$0.00001 per share.

  • Pre-Funded Warrant Shares means the shares of Common Stock issuable upon exercise of the Pre-Funded Warrants.

  • Option Warrants shall have the meaning ascribed to such term in Section 2.2(a).

  • Series A Preferred Shares means the Series A Preferred Shares of the Company, par value US$0.0001 per share, with the rights and privileges as set forth in the Memorandum and Articles.

  • Unit Shares has the meaning ascribed thereto in the first paragraph of this Agreement;

  • Maximum Number of Shares is defined in Section 2.1.4.

  • Additional Shares shall have the meaning specified in Section 14.03(a).

  • Option Stock shall have the meaning set forth in Section 2(a) hereof.

  • Option Shares shall have the meaning ascribed to such term in Section 2.2(a).

  • Applicable Stock means (i) the Company’s presently authorized series of preferred stock specified in the introductory paragraph of this Warrant, (ii) after the conversion of all of the outstanding shares of such series of preferred stock into Common Stock, either automatically or by vote of the requisite holders thereof, the Company’s Common Stock, and (iii) upon any conversion, exchange, reclassification or change, any security into which the securities described in clauses (i) or (ii) of this definition may be converted, exchanged, reclassified or otherwise changed.
