NYU Patents definition

NYU Patents means all United States and foreign patents and patent applications, and any divisions, continuations, in whole or in part, reissues, re-examinations, renewals and extensions thereof, and pending applications therefor: (1) which claim Pre-Existing Inventions and which are identified on annexed Appendix I; or (2) which claim inventions that are made, in whole or in part, by students or employees of NYU during the term and in the course of the NYU Research Project.
NYU Patents means the patent applications listed in Appendix I.A and any divisions, continuations or claims of foreign counterparts thereof, or patents issuing thereon, or reissues, renewals and extensions thereof which are directed to subject matter specifically described in the patent applications listed in Appendix I.A.
NYU Patents means Intellectual Property Rights which claim the Pre-Existing Inventions and Improvements; provided that with respect to patent applications, reasonable efforts are being made to prosecute such applications and such applications have not been pending for more than [***] from the date of the [***], provided further that such patent applications which have been pending for more than [***] shall again be considered NYU Patents upon allowance of claims in such patent applications.

Examples of NYU Patents in a sentence

  • In the event a party to this Agreement acquires information that a third party is infringing one or more of the NYU Patents, the party acquiring such information shall promptly notify the other party to the Agreement in writing of such infringement.

  • The License granted to CORPORATION in Section 5.01 hereto shall commence upon the Effective Date and shall remain in force on a country-by-country basis, if not previously terminated under the terms of this Agreement, for fifteen (15) years from the Date of First Commercial Sale in such country or until the expiration date of the last to expire of the NYU Patents whichever shall be later.

  • Each party shall always have the right to be represented by counsel of its own selection in any suit for infringement of the NYU Patents instituted by the other party to this Agreement under the terms hereof.

  • NYU will promptly disclose to CORPORATION in writing any inventions which constitute potential NYU Patents.

  • The License granted to Cell-Matrix in Section 5.a. hereto shall commence upon the Effective Date and shall remain in force on a country-by-country basis, if not previously terminated under the terms of this Agreement, for fifteen (15) years from the date of first commercial sale in such country or until the expiration date of the last to expire of the NYU Patents, whichever shall be later.

NYU Patents means all United States and foreign patents and patent applications, and any divisions, continuations, in whole or in part, reissues, renewals and extensions thereof, and pending applications therefore (regardless of when filed): (1) which claim Pre-Existing Inventions and which are identified on annexed Appendix I; (2) which claim inventions that are made, in whole or in part, by: i) NYU Researchers during the term and in the course of the NYU Research Project, and/or ii) employees or consultants of CORPORATION during the term of the NYU Research Project and which are related to the subject of the work performed in the NYU Research Project; or (3) which claim improvements made during the term and in the course of the NYU Research Project to (x) Pre-Existing Inventions and (y) inventions made during the course of the NYU Research Project in whole or in part by the NYU Researchers.
NYU Patents means the patent applications, and any divisions, continuations, in whole or in part, and foreign counterparts thereof, and patents issuing thereon, and any reissues, renewals and extensions thereof: (1) which claim Pre-Existing Inventions and which are identified on annexed Appendix I; or (2) which claim inventions that are made, in whole or in part, by students or employees of NYU during the term and in the course of the NYU Research Project under the Option Agreement, for which CORPORATION notified NYU in accordance with the terms of the Option Agreement that CORPORATION wished NYU to file a patent application at CORPORATION’s expense.
