Objecting Holder means any holder that did not waive an Escrow Agreement Default Event or did not agree that such Escrow Agreement Default Event was cured, in either case, within fifteen (15) Business Days of delivering written notice of the existence of a Default or Event of Default in accordance with Section 4(f) of the Escrow Agreement.

Examples of Objecting Holder in a sentence

  • In the absence of a mutually satisfactory resolution within such 10 day period, the Company shall within 5 days after the last day of such 10 day period engage an investment bank or other qualified appraisal firm reasonably acceptable to the Objecting Holder (the "Appraiser") to make an independent determination of Fair Market Value (the "Appraiser Determination").

  • The Appraiser Determination shall be made within 20 days of the engagement of such Appraiser and shall be final and binding on the Company and the Objecting Holder.

  • Dissenting Holder means a registered Company Shareholder who has validly exercised Dissent Rights in accordance with Section 3.1 and has not withdrawn or been deemed to have withdrawn such exercise of Dissent Rights and who is ultimately entitled to be paid the fair value of the Company Shares held by such registered Company Shareholder.
