OeKB Facility definition

OeKB Facility means the facility agreement for an amount of up to €400.0 million, or effected through the amendment and restatement of certain existing facility agreements, to be entered into on or before the Escrow Release Date among SPH, as borrower, the Parent and certain of the Parent’s Subsidiaries, as guarantors, Bank Austria Creditanstalt AG, as mandated lead arranger and agent, and certain financial institutions to be listed therein as lenders, as amended, restated, supplemented, waived, replaced (whether or not upon termination, and whether with the original lenders or otherwise), restructured, repaid, refunded, refinanced or otherwise modified from time to time, including any agreement extending the maturity thereof, refinancing, replacing or otherwise restructuring all or any portion of the Indebtedness under such agreement or agreement or any successor or replacement agreement or agreements or increasing the amount loaned or issued thereunder (subject to compliance with Section 4.09) or altering the maturity thereof.

OeKB Facility means a Euro 400,085,124.80 term facility made available to the Company pursuant to an amendment and restatement of an existing credit agreement dated 27 August 2009 made between, amongst others, the Company, the Original Guarantors (as referred to therein) and the Lenders (as referred to therein) pursuant to which, as at the Amendment Date, a principal amount of approximately Euro 120,000,000 remains outstanding.

  • Tranche B Facility means the aggregate of the Tranche B Commitments.

  • Revolver Facility means the credit facility as described in and subject to the limitations set forth in Section 2.01.
