OeKB Facility means the amended and restated facility agreement for an amount of up to €400.0 million entered into on August 27, 2009 among the Issuer, as borrower, the Parent and certain of the Parent’s Subsidiaries, as guarantors, UniCredit Bank Austria AG, as mandated lead arranger and agent, and certain financial institutions to be listed therein as lenders, as amended, restated, supplemented, waived, replaced (whether or not upon termination, and whether with the original lenders or otherwise), restructured, repaid, refunded, refinanced or otherwise modified from time to time, including any agreement extending the maturity thereof, refinancing, replacing or otherwise restructuring all or any portion of the Indebtedness under such agreement or agreements or any successor or replacement agreement or agreements or increasing the amount loaned or issued or made available thereunder (subject to compliance with Section 4.09) or altering the maturity thereof.
OeKB Facility means a Euro 400,000,000 term facility to be made available to Sappi Papier Holding GmbH pursuant to an amendment and restatement of an existing credit agreement dated on or about the date hereof made between, amongst others, Sappi Papier Holding GmbH, the Original Guarantors (as referred to therein) and the Lenders (as referred to therein).
OeKB Facility means the facility agreement for an amount of up to €400.0 million, or effected through the amendment and restatement of certain existing facility agreements, to be entered into on or before the Escrow Release Date among SPH, as borrower, the Parent and certain of the Parent’s Subsidiaries, as guarantors, Bank Austria Creditanstalt AG, as mandated lead arranger and agent, and certain financial institutions to be listed therein as lenders, as amended, restated, supplemented, waived, replaced (whether or not upon termination, and whether with the original lenders or otherwise), restructured, repaid, refunded, refinanced or otherwise modified from time to time, including any agreement extending the maturity thereof, refinancing, replacing or otherwise restructuring all or any portion of the Indebtedness under such agreement or agreement or any successor or replacement agreement or agreements or increasing the amount loaned or issued thereunder (subject to compliance with Section 4.09) or altering the maturity thereof.
