August 2009. 3.1 The District recognized the CUTA as the exclusive representative for those unit members for which the CUTA was recognized pursuant to action by the District dated May 5, 1976, and as modified thereafter by negotiation, specifically being a unit of all certificated employees holding the following positions: alternative education teachers; classroom teachers; college connection teachers; counselors; grant writers; grant-funded teachers; grant-funded release positions; intervention teachers; independent study teachers; nurses; library media teachers; on-line teachers; pre-school teachers; reading and music specialists; speech and language specialists; school resource teachers; special education teachers; summer school teachers; adult education teachers; afterschool program coordinators; prep-time providers; provided, however, that specifically excluded from representation are substitutes, psychologists, home teachers, special consultants, as well as management employees, confidential employees, and supervisory employees as designated by the District. The only employees governed by this Contract are those included within the unit. The District agrees to meet and negotiate only with the duly- authorized representatives of the CUTA.

August 2009. Remove barriers that may hinder effective HIE, particularly those related to interoperability across laboratories, hospitals, clinician offices, health plans and other health information exchange partners; - Ensure an effective model for HIE governance and accountability is in place; and - Convene health care stakeholders to build trust in and support for a statewide approach to HIE. • The respective state governments, federal government and private sector will all play important roles in advancing HIE among health care providers through the grant programs. - States will develop and implement Strategic Plans to ensure that there is measurable progress within states toward universal adoption of HIE before Medicare payment penalties begin in 2015. - The federal government will continue to advance efforts to assure interoperability and health information exchange among states and on a national level through a variety of regulatory and programmatic activities. - The private sector will play an important role in providing innovative technological solutions to initiate, establish and maintain appropriate and secure HIE among health care providers at the state and national levels. • State plans and implementation proposals must also address the needs of special populations and demographics within their state – including newborns, children, youth, those in xxxxxx care, the elderly, persons with disabilities, those with mental and substance abuse disorders, those with limited English proficiency, and the medically underserved, including Native Americans.
August 2009. Parties: The Company; and the College The College is a connected person of the Company for the purpose of the Listing Rules by virtue of the fact that the College is beneficially owned as to 100% by Xx. Xx and his associates; and Xx. Xx is a Director holding approximately 51.54% interest in the issued share capital of the Company. Subject matter: Sale of the Property from the Company to the College. The Property is currently leased to the College as the campus and facilities in the campus. The company holding the Property has become a subsidiary of the Group since July 2008 and as such, no profit was attributable to the Property for the year ended 31 December 2007. Profit attributable to the Property (representing the rental income) for the year ended 31 December 2008 amounted to approximately RMB9,882,800 (equivalent to approximately HK$11,230,800). The gain on disposal for the Property amounts to approximately RMB13,071,000 (equivalent to approximately HK$14,853,900). Such gain was calculated based on the difference between the consideration paid and the net book value of the Property as at 30 June 2009 of RMB69,509,100 (equivalent to approximately HK$78,990,100) as shown in the unaudited management accounts prepared in accordance with the PRC generally accepted accounting principles. Proceeds from the disposal of the Property will be applied towards the working capital of the Company. Consideration: RMB82,580,000 (equivalent to approximately HK$93,843,900) The consideration has been arrived at after arm’s length negotiations between the Company and the College with reference to the appraised value of the Property of RMB82,580,000 (equivalent to approximately HK$93,843,900) conducted by the Independent Valuer as at 31 May 2009, which will be satisfied in cash within 60 days upon receipt of invoice by the College from the Company. As the consideration for the disposal of the Property is based on the appraised value of the Property by the Independent Valuer, and that the consideration is higher than the net book value of the Property as at 30 June 2009 as shown in the unaudited management accounts prepared in accordance with the PRC generally accepted accounting principles, the Directors (including the independent non-executive Directors) consider that the terms of the Property Disposal Agreement are on normal commercial terms, fair and reasonable and are in the interests of the Company and the Shareholders as a whole.
