  • Upon Closing, Purchaser shall hire all Offer Recipients who accept such offer in the manner and within the time frame reasonably established by Purchaser.

  • In order to mitigate the effects of said circumstance and boost the liquidity of these shares that the retail customers holding the Buyback Securities will receive in exchange for the latter, the Fund offers a liquidity alternative for Offer Recipients in accordance with Royal Decree-Law 6/2013, which expressly authorises the Fund to perform a rapid and essential intervention to facilitate proper implementation of the bank restructuring process.

  • Confirmations of acceptance from Offer Recipients will be accepted from the first day of the acceptance window and will be unconditional and irrevocable.

  • Confirmations not fulfilling the criteria set forth in this Offer will be invalid and not accepted.On submitting their confirmations of acceptance, Offer Recipients authorise the custodian with which their Offer Shares will be deposited to block the shares subject of the confirmation of acceptance when, as applicable in each instance, (i) they submit their confirmation of acceptance or (ii) they receive the Offer Shares they are entitled to in exchange for the Buyback Securities.

Related to Offer Recipients

  • Sub-Recipient means a partner, joint venturer, director, employee, agent and subcontractors of a Recipient to whom a Recipient must disclose Confidential Information.

  • Eligible Recipients means all Employees, all Non-Employee Directors and all Consultants.

  • Alternate Recipient means any Child of a Participant who is recognized under a Medical Child Support Order as having a right to enrollment under this Plan as the Participant’s eligible Dependent. For purposes of the benefits provided under this Plan, an Alternate Recipient shall be treated as an eligible Dependent, but for purposes of the reporting and disclosure requirements under ERISA, an Alternate Recipient shall have the same status as a Participant.

  • Participating Carrier means any other carrier by water, land or air, performing any stage of the Carriage, including inland and coastal carriers, whether acting as sub-carrier, connecting carrier, substitute carrier or bailee.

  • Recipients has the meaning set forth in Section 7.1.

  • Award Recipient means the person, entity or entities that are to receive or have received grant funds through an award from the Illinois State Board of Education. The terms "grantee" and "award recipient" may be used interchangeably.

  • Qualified recipient means a person certified by a qualified organization as meeting all of the following qualifications:

  • Grant Recipient means a nonprofit or governmental organization that receives funds to operate a center pursuant to this act.

  • Eligible Recipient means an employee, director or independent contractor of the Company or any Affiliate of the Company who has been selected as an eligible participant by the Administrator; provided, however, to the extent required to avoid accelerated taxation and/or tax penalties under Section 409A of the Code, an Eligible Recipient of an Option or a Stock Appreciation Right means an employee, non-employee director or independent contractor of the Company or any Affiliate of the Company with respect to whom the Company is an “eligible issuer of service recipient stock” within the meaning of Section 409A of the Code.

  • Permitted Recipients means the parties to this agreement, the employees of each party and any third parties engaged to perform obligations in connection with this Agreement;

  • Professional Investor means an investor who possesses the experience, knowledge and expertise to make its own investment decisions and properly assess the risks that it incurs. Professional investors include, among others, entities which are required to be authorised or regulated to operate in the financial markets, large undertakings, and other institutional investors whose main activity is to invest in financial instruments;

  • Information Recipients has the meaning stated in Section 4.9(a).

  • Rights Offering Participants means those Persons who duly subscribe for Rights Offering Shares in accordance with the Rights Offering Procedures.

  • Participating Company Group means, at any point in time, all corporations collectively which are then Participating Companies.

  • Tendering Partner shall have the meaning set forth in Section 8.6.A.

  • Data Recipient means the party (being either the Association or #[Party 2], as appropriate) to whom Data is disclosed;
