Onshore Shareholder Loans definition

Onshore Shareholder Loans means the shareholder loans extended by Beijing WFOE and/or Jinan WFOE to the Principals, the Principal Holding Companies and relevant senior officers of Group Companies with a total principal amount of RMB 17,318,087.09.
Onshore Shareholder Loans means the shareholder loans extended by the Seller’s Affiliates (excluding the Group Companies) established in the PRC to the PRC Group Companies with a total principal amount of RMB1,591 million and accrued interests of RMB51,006,498 as of the Closing.

Examples of Onshore Shareholder Loans in a sentence

  • Prior to the initial public offering of the Company, the Principals shall, and shall, together with the Warrantors, cause the other relevant senior officers of the Group Companies to fully repay the Offshore Shareholder Loans and Onshore Shareholder Loans, as applicable.

  • Shareholder Loans means any shareholder loan made to the Issuer as debtor, if such loan:

  • Class A Shareholder means a holder of Class A Shares;

  • Shareholder Group means (i) Shareholder and (ii) any Affiliate or Shareholder Family Entity (as defined in the Shareholder's Agreement) of Shareholder (other than the Company).

  • Closing Shares shall have the meaning ascribed to such term in Section 2.1(a)(i).

  • Subordinated Shareholder Funding means, collectively, any funds provided to the Issuer by any Parent, any Affiliate of any Parent or any Permitted Holder or any Affiliate thereof, in exchange for or pursuant to any security, instrument or agreement other than Capital Stock, in each case issued to and held by any of the foregoing Persons, together with any such security, instrument or agreement and any other security or instrument other than Capital Stock issued in payment of any obligation under any Subordinated Shareholder Funding; provided, however, that such Subordinated Shareholder Funding:

  • Company Shareholders means holders of Company Shares.

  • Amalco Shares means the common shares in the capital of Amalco;

  • Scheme Shareholders means the registered holders of Scheme Shares at the relevant time.

  • Existing Shareholders means the officers, directors and shareholders of the Company prior to the Offering; (c) “Initial Ordinary Shares” shall mean all of the Ordinary Shares owned by an Existing Shareholder prior to the Offering (and shall include any Ordinary Shares issued as dividends with respect to such shares); (d) “Public Shareholders” shall mean the holders of securities issued in the Offering; (e) “Trust Account” shall mean the trust account established for the benefit of the Public Shareholders into which a portion of the net proceeds of the Offering will be deposited; and (f) the “Extended Period” shall mean the additional 12-month period to approve a Business Combination as more specifically described in the Registration Statement.

  • Overseas Shareholders holders of Scheme Shares who are resident in, ordinarily resident in, or citizens of, jurisdictions outside the United Kingdom;

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.

  • Existing Shareholder means any Person that is a holder of Ordinary Shares as of December 8, 2017.

  • Scheme Shares means the Target Shares which are subject to the Scheme in accordance with its terms.

  • Company Shares means the common shares in the capital of the Company;

  • Scheme Shareholder means a person who is registered in the Register as the holder of one or more Scheme Shares as at the Record Date.

  • A Shares means shares issued by companies incorporated in the PRC and listed on the SSE or the SZSE, traded in RMB and available for investment by domestic investors through Stock Connect.

  • Consideration Shares has the meaning ascribed thereto in Section 2.2.
