For the avoidance of doubt, the Private Party's obligations to the Operations Subcontractor in respect of the Project Site shall at no times be greater than the obligations of the Municipality to the Private Party in respect of the Project Site.

The Private Party acknowledges that the Operations Subcontractor will be entitled to rely on a Collateral Agreement Enforcement Notice given to the Operations Subcontractor by the CoT as conclusive evidence that the PPP Agreement has been terminated by the CoT.
The costs incurred by the Operations Subcontractor as a result of such revocation shall be borne by the Operations Subcontractor if the grounds for the revocation include any ground described in clause 54.5.
