Option Conversion Ratio definition

Option Conversion Ratio means the quotient, calculated to five decimal places, obtained by dividing (x) the Offer Price by (y) the Parent Share Price at the Effective Time.
Option Conversion Ratio means (i) the Share Consideration plus (ii) the Cash Consideration divided by the Average Price.
