Option Exercise Proceeds definition

Option Exercise Proceeds means the aggregate exercise price of all Company In-The-Money Vested Options issued and outstanding immediately prior to the Effective Time.
Option Exercise Proceeds means the aggregate amount that would be payable to the Company in cash by the SFC Optionholders to purchase shares of Company Common Stock if, immediately prior to the Effective Time, such SFC Optionholders exercised all of the then-outstanding Options, whether or not then exercisable, by paying the exercise price therefor in cash.
