Option Security. With respect to any Option, the security of the Company identified in the related Confirmation for purchase or sale upon exercise of the Option.

Examples of Option Security in a sentence

  • The purchase price to be paid per Option Security shall be equal to the price per applicable Firm Security set forth in Section 1.1.1 hereof.

  • Except as set forth in Section 3.15(a) of the Disclosure Schedule, (i) there is neither outstanding nor has the Company or any Subsidiary agreed to grant or issue any shares of its capital stock or any Option Security or Convertible Security, and (ii) neither the Company nor any Subsidiary is a party to or is bound by any agreement, put or commitment pursuant to which it is obligated to purchase, redeem or otherwise acquire any shares of capital stock or any Option Security or Convertible Security.

  • In the event of such a termination, all the CDA Documents and the Independent Engineer Agreement shall be deemed rescinded, and TxDOT shall promptly return to Developer the original of the Financial Option Security.

  • In addition, on the basis of the representations, warranties, and agreements herein contained, and upon the terms but subject to the conditions herein set forth, the Company hereby grants the Over-Allotment Option to the several Underwriters to purchase, severally and not jointly, the Option Securities at a price per Option Security set forth in the second paragraph hereof.

More Definitions of Option Security

Option Security has the meaning ascribed thereto in the first paragraph of this Agreement; "Outside Date" means July 31, 2017, or such later date as the Corporation and Atkins may agree for purposes of the Acquisition Closing, with the consent of the Panel and, if required, the approval of the Court, which date shall be no later than October 27, 2017;

  • Option Securities shall have the meaning ascribed to such term in Section 2.2(a).

  • Transaction Security means the Security created or expressed to be created in favour of the Security Agent pursuant to the Transaction Security Documents.

This includes "cryptography", "cryptographic activation", 'cryptanalysis', protection against compromising emanations and computer security.

  • Relevant Security means the Stock, any other equity security of the Company or any of its subsidiaries and any security convertible into, or exercisable or exchangeable for, any Stock or other such equity security.

  • LCR Security means any commercial paper or security (other than equity securities issued to Parent or any Originator that is a consolidated subsidiary of Parent under GAAP) within the meaning of Paragraph .32(e)(viii) of the final rules titled Liquidity Coverage Ratio: Liquidity Risk Measurement Standards, 79 Fed. Reg. 197, 61440 et seq. (October 10, 2014).

  • Option Shares shall have the meaning ascribed to such term in Section 2.2(a).

  • Option Share has the meaning ascribed to it in section "4.7" hereinbelow;

  • Quasi-Security means an arrangement or transaction described in paragraph (b) below.

  • Redemption Securities means any debt or equity securities of the Corporation, any Subsidiary or any other corporation or other entity, or any combination thereof, having such terms and conditions as shall be approved by the Board of Directors and which, together with any cash to be paid as part of the redemption price, in the opinion of any nationally recognized investment banking firm selected by the Board of Directors (which may be a firm which provides other investment banking, brokerage or other services to the Corporation), has a value, at the time notice of redemption is given pursuant to paragraph (d) of this Section 5, at least equal to the Fair Market Value of the shares to be redeemed pursuant to this Section 5 (assuming, in the case of Redemption Securities to be publicly traded, such Redemption Securities were fully distributed and subject only to normal trading activity).

  • Cyber Security means the condition in which road vehicles and their functions are protected from cyber threats to electrical or electronic components.

  • Common Security means an undivided beneficial interest in the assets of the Trust, having a Liquidation Amount of $25 and having the rights provided therefor in this Trust Agreement, including the right to receive Distributions and a Liquidation Distribution as provided herein.

  • Purchase Right means an option to purchase shares of Common Stock granted pursuant to the Plan.
