Optional Payment Currency definition

Optional Payment Currency means the currency specified as such on the face of this Note.

Optional Payment Currency means the currency specified as such in the relevant Pricing Supplement or, if none is specified, the currency in which the Notes are denominated.

Examples of Optional Payment Currency in a sentence

  • The Trustee will mail by first-class mail to each holder of a Note of this Tranche a notice of such election within five Business Days of the Option Election Date which shall state (i) the first date, whether an Interest Payment Date and/or the Maturity Date, on which scheduled payments in the Optional Payment Currency will be made and (ii) the Designated Exchange Rate.

  • If the Company makes such an election, the amount of Optional Payment Currency payable in respect hereof shall be determined by the Exchange Rate Agent by converting the amount of Specified Currency that would otherwise be payable into the Optional Payment Currency at the Designated Exchange Rate specified on the face hereof.

  • If the Company makes such an election, the amount payable in the Optional Payment Currency shall be determined using the Designated Exchange Rate specified on the face hereof or in the pricing supplement attached hereto or delivered herewith.

  • In no event shall any adjustment be made to any amount payable hereunder as a result of (i) any redenomination of any component currency of any composite currency (unless such composite currency is itself officially redenominated) or (ii) any change in the value of the specified currency or the Optional Payment Currency relative to any other currency due solely to fluctuations in exchange rates.

  • Dual Currency Notes If this Note is specified on the face hereof or in the pricing supplement attached hereto or delivered herewith as a Dual Currency Note, the Company may have a one time option of making all payments of principal, premium, if any, and interest on all Dual Currency Notes issued on the same day and having the same terms (a "Tranche"), which payments would otherwise be made in the Specified Currency of such Notes, in an optional currency (the "Optional Payment Currency").

  • If such election is made, notice of such election shall be mailed in accordance with the terms of the applicable Tranche of Dual Currency Notes within two Business Days of the Option Election Date and shall state (i) the first date, whether an Interest Payment Date and/or Stated Maturity, on which scheduled payments in the Optional Payment Currency will be made and (ii) the Designated Exchange Rate.

  • If the Company makes such an election, the amount of Optional Payment Currency payable in respect hereof shall be determined by the Exchange Rate Agent by converting the amount of Specified Currency that would otherwise be payable into the Optional Payment Currency at the Designated Exchange Rate specified on the face hereof.The Company may exercise such option by notifying the Trustee of such exercise on or prior to the Option Election Date.

  • The Trustee will mail by first-class mail to each holder of a Note of this series a notice of such election within five Business Days of the Option Election Date which shall state (i) the first date, whether a Coupon Payment Date and/or the Stated Maturity Date, on which scheduled payments in the Optional Payment Currency will be made and (ii) the Designated Exchange Rate.

  • If the Company makes such an election, the amount of Optional Payment Currency payable in respect hereof shall be determined by the Exchange Rate Agent by converting the amount of Specified Currency that would otherwise be payable into the Optional Payment Currency at the Designated Exchange Rate specified on the face of this Note.

  • If such election is made, notice of such election shall be mailed in accordance with the terms of the applicable Tranche of Dual Currency Notes within two Business Days of the Option Election Date and shall state (i) the first date, whether an Interest Payment Date and/or Stated Maturity, in which scheduled payments in the Optional Payment Currency will be made and (ii) the Designated Exchange Rate.

Related to Optional Payment Currency

  • Payment Currency has the meaning given in Clause 21.4;

  • Settlement Currency means Pounds sterling ("GBP").

  • Agreement Currency has the meaning specified in Section 10.19.

  • Fiat Currency means a currency issued by a country's government or central bank.

  • Judgment Currency has the meaning specified in Section 10.19.

  • Component Currency means any currency which, on the Conversion Date, was a component currency of the relevant currency unit.

  • Relevant Currency means the currency specified as such or, if none is specified, the currency in which the Notes are denominated;

  • Judgment Currency Conversion Date shall have the meaning assigned to such term in Section 11.18(a).

  • First Currency has the meaning specified in Section 1.15.

  • Second Currency has the meaning specified in Section 14.19.

  • Underlying Currency means the Underlying Currency as specified in § 2 of the Product and Underlying Data.

  • Primary Currency has the meaning specified in Section 9.11(c).

  • Designated Currency shall have the same meaning assigned to it in Section 3.12.

  • Other Currency has the meaning specified in Section 1.15.

  • Termination Currency means United States Dollars.

  • Party A Currency Amount In respect of each Party A Calculation Period, an amount in Dollars equal to the principal amount outstanding of the Relevant Notes on the first day of such Calculation Period (after taking into account any redemption on such day).

  • Optional Currency means a currency (other than the Base Currency) which complies with the conditions set out in Clause 4.3 (Conditions relating to Optional Currencies).

  • Specified Currency means the currency specified as such hereon or, if none is specified, the currency in which the Notes are denominated.

  • Denomination Currency has the meaning specified in Section 14(b).

  • Approved Currency means each of Dollars and each Alternate Currency.

  • Original Currency has the meaning assigned to such term in Section 2.17.

  • Net Current Assets means the net difference between the total current assets and the total current liabilities at 30 June;

  • Permitted Currency means (1) the legal tender of any Group of 7 country (or any country that becomes a member of the Group of 7 if such Group of 7 expands its membership) or (2) the legal tender of any country which, as of the date of such change, is a member of the Organization for Economic Cooperation and Development and has a local currency long-term debt rating of either AAA or higher assigned to it by Standard & Poor's, a division of The McGraw-Hill Companies, Inc. or any successor to the rating business thereof, Aaa or higher assigned to it by Moody's Investors Service, Inc. or any successor to the rating business thereof or AAA or higher assigned to it by Fitch Ratings or any successor to the rating business thereof;

  • Specified Discount Prepayment Amount has the meaning set forth in Section 2.05(a)(v)(B)(1).

  • Base Currency Amount means, in relation to a Loan, the amount specified in the Utilisation Request delivered by a Borrower for that Loan (or, if the amount requested is not denominated in the Base Currency, that amount converted into the Base Currency at the Agent’s Spot Rate of Exchange on the date which is three Business Days before the Utilisation Date or, if later, on the date the Agent receives the Utilisation Request) adjusted to reflect any repayment or prepayment of the Loan.

  • Obligation Currency shall have the meaning assigned to such term in Section 11.18(a).
