Original Investors definition

Original Investors means the investors whose names are listed on the Investor Signature Pages of this Agreement prior to the execution of the First Amendment.

Original Investors is defined in the preamble to this Agreement.

Original Investors means Global Petroleum Corp., a Massachusetts corporation, Xxxxx Holdings LLC, a Delaware limited liability company, Xxxxx Holdings II LLC, a Delaware limited liability company, Chelsea Terminal Limited Partnership, a Massachusetts limited partnership, Sandwich Terminal, L.L.C., a Massachusetts limited liability company, Montello Oil Corporation, a New Jersey corporation, Xxxxxxx Xxxxxx, Xxxxxx Xxxxxx, Xxxx Xxxxxx and related Xxxxxx family controlled trusts and any other Person which is Controlled by Xxxxxxx Xxxxxx, Xxxxxx Xxxxxx and Xxxx Xxxxxx.

• This Assignment and Assumption shall inure to the benefit of and be binding on the Assignee, the Assignor, the Companies, the Original Investors and their respective permitted successors and assigns, effective immediately upon delivery.

• If the Tag-Along Shares and the shares of the Original Investors are sold under this Article 7 to any purchaser who is not a party to this Agreement, the Tag-Along Shares and the share of the Original Investors so sold shall no longer be subject to any of the restrictions imposed by this Agreement, except for any restrictions imposed by Article 2, which shall continue in force until such time as they lapse pursuant to the terms of such Article 2 or Article 7 hereof.

Original Investors means TCV VI, L.P., a Delaware limited partnership, and TCV Member Fund, L.P., a Delaware limited partnership.
