Original Investors definition

Original Investors is defined in the preamble to this Agreement.

Original Investors means Global Petroleum Corp., a Massachusetts corporation, Xxxxx Holdings LLC, a Delaware limited liability company, Xxxxx Holdings II LLC, a Delaware limited liability company, Chelsea Terminal Limited Partnership, a Massachusetts limited partnership, Sandwich Terminal, L.L.C., a Massachusetts limited liability company, Montello Oil Corporation, a New Jersey corporation, Xxxxxxx Xxxxxx, Xxxxxx Xxxxxx, Xxxx Xxxxxx and related Xxxxxx family controlled trusts and any other Person which is Controlled by Xxxxxxx Xxxxxx, Xxxxxx Xxxxxx and Xxxx Xxxxxx.

Original Investors means TCV VI, L.P., a Delaware limited partnership, and TCV Member Fund, L.P., a Delaware limited partnership.

Examples of Original Investors in a sentence

• Subject to Section 2.1, this Agreement shall automatically terminate, and all parties hereto shall automatically be released from any obligations hereunder and under the Second Amended and Restated Series A Certificate of Designation and, if any, any obligations under the Amended and Restated Investors Rights Agreement, the Original Certificate of Designations and the Original Investors Rights Agreement, on the date none of the Shares issued on the Closing Date remain outstanding.

• Subject to applicable federal and state securities laws, Unearned Restricted Shares so acquired by the Corporation shall be offered by the Corporation at the Adjusted Original Price to the Original Investors pro rata with their holdings of shares of common stock, par value $.10 per share, prior to the IPO.

• For the avoidance of doubt, for purposes of this Section 7.01 it shall be assumed that all securities held by the Original Investors which may be converted into or exercised for Common Shares have been so converted or exercised.

• This Assignment and Assumption shall inure to the benefit of and be binding on the Assignee, the Assignor, the Companies, the Original Investors and their respective permitted successors and assigns, effective immediately upon delivery.

• Seven, Tracinda, the Company, MGM Studios and Xx. Xxxxxxx hereby mutually agree that, effective as of the IPO Closing Date, the Original Investors Shareholder Agreement and that certain Letter Agreement dated as of August 4, 1997 among the parties hereto shall terminate and be of no further force or effect, and none of them shall have any further rights, duties or obligations thereunder from and after the effective date of such termination.

More Definitions of Original Investors

Original Investors means all of the holders of Stapled Securities on the record date for the Entitlement Issue;

Original Investors means Ian Xxxxxxxx, Xxlgo Investments, Samuxx Xxxxxxx, XXN Partners, Ltd. and Park 'N View General Partner, Inc.

Original Investors means the investors whose names are listed on the Investor Signature Pages of this Agreement prior to the execution of the First Amendment.

Original Investors means all or any of the following persons (with such proportionate interests all taken together, as they may determine):

Original Investors means the parties to the Original Agreement listed under the heading “Investors” on Schedule A thereto.

Original Investors means those persons who are not employees of the Corporation and who were issued shares of Old Common Stock pursuant to the offering described in the Confidential Investment Memorandum of the Corporation, dated August 19, 1995, and their Permitted Transferees (as such term is used in that certain Stockholders' Agreement among the Corporation and the Original Investors, dated as of September 29, 1995).

Original Investors means Global Petroleum Corp., a Massachusetts corporation, Xxxxx Holdings LLC, a Delaware limited liability company, Xxxxx Holdings II LLC, a Delaware limited liability company, Chelsea Terminal Limited Partnership, a Massachusetts limited partnership, Sandwich Terminal, L.L.C., a Massachusetts limited liability company, Montello Oil Corporation, a New Jersey corporation, Xxxxxxx Xxxxxx, Xxxxxx Xxxxxx, Xxxx Xxxxxx and related Xxxxxx family controlled trusts and any other Person which is Controlled by Xxxxxxx Xxxxxx and/or Xxxx Xxxxxx or is a beneficiary of their respective family trusts.
