For the purposes hereof “ Original Issue Price” will mean the Original Series A Issue Price, Original Series Al Issue Price, Original Series B Issue Price, Original Series B1 Issue Price, Original Series C Issue Price, Original Series C1 Issue Price, Original Series D Issue Price, Original Series D1 Issue Price, Original Series E Issue Price, Original Series El Issue Price, Original Series F Issue Price and/or Original Series F1 Issue Price, as relevant to the situation.
The number of shares of Common Stock into which each share of (i) Series A1 Preferred Stock or (ii) Series B1 Preferred Stock may be converted shall be equal to the quotient determined by dividing the Original Series A1 Issue Price or the Original Series B1 Issue Price, respectively, by the Conversion Price (determined as hereinafter provided) for such Series in effect at the time of the conversion.
The delivery of the Purchased Securities to each Purchaser at each Closing and the delivery of the Underlying Shares upon conversion or exercise of the Purchased Securities will transfer good and valid title to, and beneficial ownership of, the Purchased Securities and the Underlying Shares, other than as a result of any encumbrances, Liens and claims described in clauses (i) and (ii) of the preceding sentence.
The initial Conversion Price per share for shares of Series B-1 Preferred Stock shall be the lesser of (i) the Original Series B-1 Issue Price and (ii) ninety percent (90%) of the Market Price on the Conversion Date; provided, however, that the Conversion Price for the Series B-1 Preferred Stock shall be subject to adjustment as set forth in subsection 3(d) (Conversion Price Adjustments of Series B-1 Preferred Stock for Stock Splits and Combinations) hereof.
The redemption price for each share of Series B-1 Preferred Stock redeemed pursuant to this Section 3 of Article V(B) shall be equal to a price per share of Series B-1 Preferred Stock which is one hundred (100%) of the applicable Original Series B-1 Issue Price, plus all declared or accrued but unpaid dividends, as adjusted (the “Series B-1 Redemption Price”), together with the Series B-2 Redemption Price and Series B-3 Redemption Price, the “Series B Redemption Price”).
Redemptions of each share of (i) Series A1 Preferred Stock or (ii) Series B1 Preferred Stock pursuant to this Section 2(c) shall be made at the Original Series A1 Issue Price or the Original Series B1 Issue Price, respectively (as adjusted for any Recapitalization Event), plus an amount equal to the amount of all declared but unpaid dividends as of the relevant Redemption Date payable in accordance with Section 2(a) above on each such share to be redeemed.
