Contractor shall enforce strict discipline and good order among its employees, its Subcontractors’ employees, Owner Supplier employees and any other Persons carrying out portions of the Work on the Project Site and provide for the protection and maintenance of the Work and Owner Equipment and Materials on the Project Site and of all Persons and property related thereto.
Without limiting the generality of the foregoing, upon request by System Owner, Supplier shall take all actions, and do all things, necessary to facilitate and to confirm the ownership and control by System Owner of such permits and approvals.
Owner shall act reasonably in determining whether to initiate, continue, settle or abandon claims or proceedings against an Owner Supplier.
Upon request from System Owner, Supplier shall schedule such interconnection and any required shutting down of the BES on a night or weekend.
Prior to the Warranty Period, if either Party obtains knowledge of any defect or deficiency in any Owner Suppliers’ Scope, such Party shall give Notice thereof to the other Party, and Owner shall thereafter enforce the provisions of the applicable Owner Contract and secure from the applicable Owner Supplier a plan of correction for such defect or deficiency.
In such event, System Owner shall have the right to deduct all amounts so paid (plus reasonable attorneys’ fees) from amounts due Supplier hereunder; and upon reasonable demand by System Owner, Supplier shall reimburse System Owner for such amounts not deducted.
Unless otherwise specified by Owner, Supplier shall, within fourteen (14) days after Owner's notice to Supplier of the award of this Contract, submit for Owner's approval a proposed performance schedule which shall be a breakdown of, and shall concur with, the completion requirements of this Contract or, if no completion requirements are established, on a basis whereby the Work may be completed as soon as good practice and due diligence permit.
To the extent that correction of the Warranty Defect involves the re-performance, repair, re-supply or replacement of any item supplied or performed pursuant to an Owner Contract, Contractor shall assist Owner in procuring such re-performance, repair, re-supply or replacement by the Owner Supplier and the costs incurred by Owner on account thereof to correct such Warranty Defect will be added to the Total Work Cost.
Upon request by Owner Supplier shall provide copies of all Certificates of Insurance that Subcontractors are required to carry pursuant to this Agreement.
If any loss or damage occurs to or affects the Work prior to completion and final payment has been issued to Supplier by Owner, Supplier shall at its expense promptly repair or replace the loss or damage; provided, however, that Supplier shall be entitled to receive from Owner the proceeds of all applicable insurance policies, if any, covering the loss or damage, but only to the extent that Owner’s sole negligence caused such loss or damage.
