Par Redemption Date definition

Par Redemption Date means either the Fixed/Floating Rate Notes Par Redemption Date or the Floating Rate Notes Par Redemption Date, as applicable.
Par Redemption Date means the date specified in the relevant Final Terms; “Redemption Margin” shall be as set out in the relevant Final Terms;
Par Redemption Date has the meaning set forth in Annex I hereto.

Examples of Par Redemption Date in a sentence

  • For the avoidance of doubt, no Make-Whole Payment will be payable in connection with an Optional Redemption of the Notes on or after the First Par Redemption Date.

  • A Make-Whole Payment will be due in connection with the Optional Redemption of the Notes on any date on or after the Earliest Redemption Date but prior to the First Par Redemption Date, as described in Section 8.2, solely to the extent funds are available therefor.

  • If the Trust effects an Optional Redemption on any date prior to the First Par Redemption Date, the Trust will be required to pay a Make-Whole Payment in connection with such redemption.

  • If the Notes are redeemed on or after the Par Redemption Date, the redemption price for the Notes to be redeemed will equal 100% of the principal amount of such Notes plus accrued and unpaid interest, if any, to such redemption date.

  • In the event that the Securities or a portion thereof are called for redemption and the Make-Whole Redemption Date or Par Redemption Date, as applicable, is subsequent to a regular record date with respect to any Interest Payment Date and prior to such Interest Payment Date, interest on such Securities will be paid upon presentation and surrender of such Securities as provided in the Indenture.

Par Redemption Date means any of the 2024 Fixed/Floating Rate Notes Par Redemption Date, the 2027 Fixed/Floating Rate Notes Par Redemption Date, the 2032 Fixed/Floating Rate Notes Par Redemption Date or the Floating Rate Notes Par Redemption Date, as applicable.
Par Redemption Date shall be as set out in the applicable Final Terms; “Quotation Time” shall be as set out in the applicable Final Terms; “Redemption Margin” shall be as set out in the applicable Final Terms;
Par Redemption Date means each of the 2027 Notes Par Redemption Date and the 2034 Notes Par Redemption Date for the 2027 Notes and the 2034 Notes, respectively.

Notwithstanding anything to the contrary in the Indenture or the Debt Securities, the Issuer may only redeem or purchase the Debt Securities prior to the Maturity Date pursuant to the Indenture (i) if the Issuer has obtained the Relevant Supervisory Consent, (ii) prior to the fifth anniversary of the Issue Date, if the Applicable Rules so oblige, the Issuer has demonstrated to the satisfaction of the Relevant Regulator that (x) pursuant to a Capital Disqualification Event Redemption, the relevant change in the regulatory classification of the Debt Securities was not reasonably foreseeable on the Issue Date; (y) pursuant to a Tax Event Redemption, the relevant tax event is a change in the applicable tax treatment of the Debt Securities which is material and was not reasonably foreseeable on the Issue Date; or (z) in any circumstances, the Issuer has (or will have), before or at the same time as such redemption or purchase, replaced the Debt Securities with own funds instruments of equal or higher quality at terms that are sustainable for the Issuer’s income capacity, and the Relevant Regulator has permitted such action on the basis of the determination that it would be beneficial from a prudential point of view and justified by exceptional circumstances, and (iii) the Issuer has complied with any alternative or additional pre-conditions to redemption or purchase, as applicable, set out in the Applicable Rules.
