Parent Distribution definition

Parent Distribution has the meaning specified in Section 5.10.
Parent Distribution means the one-time cash distribution to be made by the Borrower to Parent on the Closing Date in an amount not to exceed $120,000,000, such cash distribution to be made with the proceeds of the IPO and the initial Borrowing hereunder.
Parent Distribution has the meaning ascribed to it in the recitals to this Agreement.

Examples of Parent Distribution in a sentence

  • The only permitted withdrawal from or application of funds on deposit in, or otherwise to the credit of, the Collection Account shall be in accordance with the provisions of Sections 6.4, 8.2 and 9.1 or to effect a Permitted Distribution or a Permitted Parent Distribution in accordance with the terms of this Agreement.

  • Current Distribution Date means a Distribution Date specified as a reference date for calculating the Expected Distributions with respect to the Certificates of any Trust as of such Distribution Date.
