Examples of Parent Prepared Returns in a sentence
LQ Parent shall file or cause to be filed all such LQ Parent Prepared Returns with the applicable Taxing Authority to the extent a member of the LQ Parent Group is responsible under applicable Law for filing such Tax Returns, and CPLG shall cooperate (or cause its Subsidiaries to cooperate) in the filing of such Tax Returns to the extent a member of the CPLG Group is responsible for filing such Tax Returns under applicable Law.
With respect to any LQ Parent Prepared Returns that includes any member of the CPLG Group, LQ Parent shall provide CPLG with a copy of each such proposed Tax Return (or, if such LQ Parent Prepared Returns include members of the LQ Parent Group, solely the portion thereof relating to any member of the CPLG Group) for review and comment at least twenty (20) days prior to the filing of such Tax Return.
Subject to the preceding sentence, no later than ten (10) days after the receipt of such Tax Returns, CPLG shall have a right to comment on such LQ Parent Prepared Returns (or portions thereof) by written notice to LQ Parent; such written notice shall contain any disputed item (or items) and the basis for the comment.
All expenses relating to the preparation and filing of LQ Parent Prepared Returns shall be borne by LQ Parent.
The cost of preparation of Parent Prepared Returns shall be paid by the Company at the direction of the Members’ Representative.
All Parent Prepared Returns shall be prepared in a manner consistent with the past practice of the Company (or its applicable Subsidiaries) to the extent consistent with applicable Law.
Parent will provide or make available to the Stockholders’ Representative copies of all Parent Prepared Returns at least thirty 30 days prior to the due date for filing such Parent Prepared Return (or, if such due date is within 60 days following the Closing Date, as promptly as practicable following the Closing Date).
Parent shall prepare, or cause to be prepared, any such Parent Prepared Returns consistent with the past practices of the Company unless otherwise required by applicable Legal Requirements.
Parent shall consider in good faith any timely-received, reasonable comments made by the Stockholders’ Representative to Parent Prepared Returns.
The Buyer shall cause the Company to prepare and timely file all Tax Returns that are filed after the Closing Date and that are not Parent Prepared Returns for all taxable years ending on or before the Closing Date and for Straddle Periods (the “Buyer Prepared Returns”).
