Parent Price definition

Parent Price means the average of the closing prices of a share of Parent Common Stock as reported on the Nasdaq Global Select Market and as reported on www.nasdaq.com for the five (5) trading days ending on, but excluding the date that is three (3) trading days prior to, the day on which consummation of a Sale Event occurs.

Parent Price means the closing price of a share of Parent Common Stock as reported on The Nasdaq Global Select Market (or any other market on which the Parent Common Stock is principally traded) for the last trading day immediately prior to the day on which consummation of a Sale Event occurs.

Parent Price means the volume weighted average trading price of Parent common stock on NASDAQ for the five (5) consecutive trading days ending on the trading day immediately preceding the Closing Date;

More Definitions of Parent Price

Parent Price means the average of the per share closing prices of Parent ------------ Common Stock on the Nasdaq during the ten consecutive trading days ending on (and including) the trading day that is two trading days prior to the date of the Effective Time; provided, however, that for purposes of this Agreement and subject to the provisions of Section 9.01(e), the Parent Price shall not be greater than $10.50 or less than $8.50.

Parent Price means the volume-weighted average of the closing prices of a share of Parent Common Stock as reported on the Nasdaq Global Select Market (or any other market on which the Parent Common Stock is principally traded) for the three (3) consecutive trading days up to and including the trading day that is one (1) trading day prior to the day on which consummation of a Sale Event occurs.

Parent Price shall have the meaning stated in Section 2.7(b).

Parent Price means the volume weighted average price (rounded up to the nearest cent) of Parent Common Stock on the Nasdaq Global Market (as reported by Bloomberg L.P. or, if not reported therein, in another authoritative source mutually selected by Parent and VantageSouth) for the thirty (30) latest Trading Days, as defined below, preceding the date that is four business days prior to the Closing Date (the “Measurement Period”). “Trading Day” means any day on which at least 100 shares of Parent Common Stock are traded, as reported on the Nasdaq Global Market.

Parent Price means the closing price of a share of Parent Common Stock as reported on The Nasdaq Global Select Market for the last Nasdaq trading day immediately prior to the day on which the Effective Time occurs.

Parent Price means the Fair Market Value (as defined in the Parent Equity Plan) of one Parent Share as of the date of grant or transfer of the applicable Parent Share.

Parent Price means the average (rounded to the nearest 1/100th) of the closing price of Parent Common Shares on the NYSE Composite Transaction Reporting System, as reported in THE WALL STREET JOURNAL (for trading during regular trading hours, not extended trading), for the 10 consecutive Trading Days ending on the Trading Day immediately preceding the Effective Date.
