Parent Product definition

Parent Product means each product or product candidate that is being researched, tested, developed, commercialized, manufactured, sold or distributed by or on behalf of Parent or any of its Subsidiaries.
Parent Product means a Product bearing a Parent Trademark.
Parent Product means any product or service designed, developed, manufactured, or exclusively licensed at any time by Parent or the Parent Subsidiary.

  • There is no action or proceeding pending or, to the knowledge of Parent, threatened, including any prosecution, injunction, seizure, civil fine, debarment, suspension or recall, in each case alleging any violation applicable to any Parent Product or Parent Product candidate by Parent or any of the Parent Subsidiaries of any Law, except as would not, individually or in the aggregate, reasonably be expected to have a Parent Material Adverse Effect.

  • There is no pending or, to the Knowledge of Parent, threatened recall or investigation of any Parent Product.

  • No material claims have been received in writing by the Company within the previous three (3) years against Parent or any of its Subsidiaries or, to Parent’s Knowledge, against any third party to whom Parent or any of its Subsidiaries has an indemnification obligation, alleging that any Parent Product, or the conduct of the business of Parent or any of its Subsidiaries, infringes, misappropriates or otherwise violates any Intellectual Property Rights of any Person.

  • Parent and its Subsidiaries own and possess source code for all Parent Product software owned or purported to be owned by Parent.

  • Except as set forth in Section 3.7(i) of the Parent Disclosure Schedule, no source code for any Parent Product included in the Parent IP has been delivered, licensed or made available by Parent, any of its Subsidiaries or any of their authorized licensees or designees outside the ordinary course of business to any escrow agent or other Person who is not, as of the date of this Agreement, an employee or consultant of Parent.


More Definitions of Parent Product

Parent Product means products and services manufactured, sold, provided or distributed, as the case may be, by Parent or members of its Group under a Parent Xxxx, or any other brand that does not include an Xxxx Xxxx.
Parent Product means any product that Parent has manufactured, distributed, marketed or sold, or is manufacturing, distributing, marketing or selling and any products currently under preclinical or clinical development by Parent.
Parent Product means any material Computing Services or other material products or services produced, marketed, licensed, made available, sold, distributed or performed by or on behalf of Parent or any Parent Subsidiary.
Parent Product means any product or device sold or distributed by Parent or any of its Subsidiaries, or any service provided by Parent or any of its Subsidiaries, in the five (5) year period preceding the date of the Original Agreement.
Parent Product means any product or service: (a) developed, manufactured, marketed, distributed, provided, leased, licensed or sold, directly or indirectly, by or on behalf of any Oclaro Corporation; or (b) currently under development by or for any Oclaro Corporation (whether or not in collaboration with another Person).
Parent Product means any product that incorporates, constitutes or contains any compound owned or controlled by Parent or any of its Subsidiaries (in each case, by itself or in combination with or part of any other medicine, drug, compound, product or other therapeutic agent) in all forms, presentations, formulations and methods of administration, whether currently being researched, tested, developed, commercialized, manufactured, sold or otherwise distributed, as determined as of the Closing Date.
Parent Product has the meaning set forth in Section 7.11(b) of this Agreement.
