Parent Restated Charter definition

Parent Restated Charter has the meaning set forth in the Recitals.
Parent Restated Charter means that certain second amended and restated certificate of incorporation of Parent, in form and substance reasonably acceptable to Parent and the Company.

Related to Parent Restated Charter

  • Company Certificate of Incorporation means the Amended and Restated Certificate of Incorporation of the Company as amended and restated and as in effect as of the date hereof.

  • Certificate of Incorporation means the Certificate of Incorporation of the Company, as amended from time to time.

  • Company Articles means the Articles of Incorporation of the Company, as amended.

  • Memorandum and Articles means the Memorandum of Association of the Company and the Articles of Association of the Company, as each may be amended and/or restated from time to time.

  • Reorganization Agreement has the meaning set forth in the recitals.

  • Articles of Incorporation means the Articles of Incorporation, Declaration of Trust, or other similar organizational document as the case may be, of a Fund as the same may be amended from time to time.
